Sir — I do myself the honor to forward to your Excellency authenticated copies of the foUowing Acts passed in the last Session of the Provincial Council of this Province, and to which I have given my assent on behalf of your Excellency, viz.: — " An Act to empower the Superintendent to erect a Toll-gate at Kaiwarrawarra." " An Act to make provision for the payment of a Salary to the Auditor and Deputy Auditor." " An Act to provide for the preservation and protection of Trigonometrical Stations and Survey-marks." " An Act to provide for the management of the General Cemetery at Wanganui." " An Act to appoint Commissioners to adjust the amounts payable by the Provinces of Wellington and Hawke's Bay, in discharge of the Loans raised by the Province of Wellington, as originally constituted, and for the adjustment of all matters of account between the two Provinces. Enclosure to No. 1. PROVINCE OP WELLINGTON. LOAN ADJUSTMENT. ANNO YICESIMO QCTNTO VICTORIA BEGINS. Session IX., No. 5. ANALYSIS. Title. 3. Seats of Commissioners in Provincial Council not to Preamble. become vacant 1. Appointment of Commissioners. 2. Power to Superintendent to appoint Commissioners, in the event of vacancy by death or otherwise. An Act to appoint Commissioners to adjust the amounts payable by the Provinces of Wellington and Hawke's Say, in discharge of the Loans raised by the Province of Wellington, as originally constituted, and for the adjustment of all matters of account between the two Provinces. [Assented to 2nd Juno, 1862.] Wheeeas it is expedient to adjust the proportions of the Loans raised by the Province of Wellington, as originally constituted, payable by the present Province of Wellington and tho Province of Hawkc's Bay, and other matters of account between the said Provinces : Be it theeefoee enacted by the Superintendent of the Province of Wellington, by and with the advice and consent of the Provincial Council thereof, as follows :— I. That Isaac Earl Featherston, Superintendent of this Province, William Fitzherbert, and William Waring Taylor, Esquires, be appointed Commissioners for the purpose of adjusting with the Provincial Government of Hawke's Bay, or any Commission to be appointed by them, the ampunts to be paid by each Province in discharge of the Loans raised by the Province of Wellington, as originally constituted, as their respective equitable proportions thereof, and the interest already accrued, and hereafter to accrue, on such Loans, and also to settle all matters of account between the said Provinces of Wellington and Hawke's Bay. II. In case either of the Commissioners so appointed shall die, resign, or become incapable of acting therein before such adjustment shall be completed, the Superintendent may appoint another person to bo Commissioner in his stead, and such newly appointed Commissioner shall have the same authority and power as the Commissioner in whose place he was appointed. III. Provided always that in the case of either the aforesaid William Fitzherbert and William Waring Taylor, now Members of this Provincial Council, or of any other Member of the Provincial Council who shall at any time bo appointed a Commissioner under this Act, his seat in the Provincial Council shall not become vacant, notwithstanding anything to the contrary contained in the Act of the Provincial Council, Session I., No. 26, intituled "An Act to make void the election of certain Members of the Provincial Council." Sib,— 1 have to acknowledge the receipt of your Honor's letter, No. 237, of the 12th instant, and in reply, to inform you that the Sub-Treasurer at Wellington has been instructed to pay into the Provincial Treasury there the sum of Twelve hundred and fifty pounds (£1,250), due from the Province of Hawke's Bay on account of Permanent Debts of the original Province of Wellington. Sir — I have the honor to acknowledge the receipt of your letter of the 21st ult., informing me that the Sub-Treasurer at Wellington had been instructed to pay into the Provincial Treasury the sum of Twelve hundred and fifty pounds, due from the Province of Hawke's Bay, on account of interest on the Permanent Debts of the original Province of Wellington, and to tender you my thanks for your prompt compliance with my request. Sir,— I have to enclose for your Honor's information copies of the correspondence, noted in margin, relative to the payment into the Provincial Treasury at Wellington of the sum of Twelve hundred and fifty pounds (£1,250), due from the Province of Hawke's Bay on account of interest on the Permanent Debts of the original Province of Wellington. Sib, — I have the honor to transmit the Beport of a Select Committee of the Provincial Council of Ilawke's Bav, which was afterwards adopted by the Council " as to the course it is most desirable should be pursued in relation to the settlement of the Wellington Debt."

In pursuance of that Eeport, an Act has been paased by the Provincial Council to the same eft'oct as the "Wellington Loan Adjustment Act," with a provision however that in the event of the Commissioners not arriving at a conclusion, and agreeing thereon before the next meeting of the G-eneral Assembly, it shall be left to His Excellency the Governor to appoint a Commission to hear and decide the question. In thn event of a decision not being arrived at by the Commissioners in this matter, I have every confidence that His Excellency and his Government will take such steps as may lead to the appointment of an impartial Commission or tribunal to decide the question. Report of the Select Committee appointed to report upon the course it is desirable should be pursued in relation to the settlement of the Wellington Debt. Appointed on the motion of Mr. McLean, April 2nd, 1863. Members: Messrs. Carter, Ormond. Ehodes, Colenso, Tiffen, and the mover. The Committee appointed to report upon the course it is most desirable should be pursued in relation to the settlement of the Wellington Debt, report as follows:— " That the Committee would recommend the passing of an Act to the same effect as the ' Wellington Loan Adjustment Act,' with a provision, that in the event of the Commissioners not arriving at a conclusion, and agreeing thereon before the next meeting of the General Assembly, that it shall be left to His Excellency the Governor to appoint a Commission to hear and decide the question. " The Committee would therefore recommend that an offer to the effect contained in the foregoing resolution be made to the Wellington Government, it being at the same time pointed out that the conference of Commissioners, as provided in the Wellington Act, would in the opinion of the Council in all probability be found insufficient for the object desired, viz., the final settlement of the question. " Your Committee would further recommend that in the event of the offer of settlement contained in the above resolution not being accepted by the Wellington Government, that the Representatives of this Province in the House of Eepresentative3 should be instructed that it is the opinion of the Council that the course which it is most desirable they should advocate should be that laid down in the above resolutions, which would, this Council believes, ensure tho early settlement of this question by a disinterested and impartial tribunal. " That the Superintendent be requested to acquaint His Excellency's Government with the terms of the Council's report upon this question, and to beg that any co-operation in their power ;nay be exerted to provide for a settlement in the manner therein proposed." No. 11. THE SUPERINTENDElVT OF NAPIEE TO THE DONOEABLE THE MTNISTEE FOE NATIVE AFFAIES, AUCKLAND. Superintendent's Office, Napier, April 23rd, 1863. Sib, — 1 should feel much obliged if you would permit Major Whitmore to be appointed a Commissioner to assist in adjusting certain claims and matters of account pending between the Provinces of Wellington and Hawke's Bay. Pending your approval, I have taken upon myself to insert Major Whitmore's name in an Act of the Provincial Council passed on the 14th instant; and I trust, as the duty will not interfere materially with his avocations as Civil Commissioner, that you will sanction the appointment.
