MINING COMPANY MEETING.

Titania G.M.Co

A well-attended meeting of the shareholders of the Titania claim, Punga Flat, was held at the Bowen on Saturday night, for the purpose of forming it into a company. The following shareholders were present—Messrs L. Ehrenfried, John Brown, Jas. Brown, W. McCullough^ T. Dunlop, J. H. Smith, W. Rowe, junr., John Wilson, R. Graham, junr., Stewart, T. Scott, Gilbert, Gerstberg, Wickham, A. H. Clark, Buttle, Bayldon, M. Bo^ve, John Watson, Q. McLean, Philp, and Lough.. Mr L. Ehrenfried was called to the chair, and a resolution was passed forming a company under the Mining Companies' Act, 1872, under the name and style of the "Titania Goldmining Company," with a nominal capital of £15, CX), in 15,000 £1 shares; nil paid up; thus allowing 500 shares to each full promoter's share. Mr McLean moved, and Mr W. Rowe, junior, seconded, that the number of directors be five —three to form a quorum. Carried. Mr Radford moved, and Mr Dunlop seconded, that the qualification of a director be 100 shares. The following board of directors were unanimously elected on the motion of Mr Wickham :— Messrs Ehrenfried, J. Brown, J. McCabe, J. Wilson and T. Scott. Mr Wickham then read over a code of rules under which a number of companies have been successfully worked, which were unanimously adopted. Mr D. G. MacDonnell was then duly elected legal manager; Messrs Macdonald and Miller solicitors ; the Bank of New Zealand, bankers; and Messrs R. M. Mitchell and J. L. Whitford, auditors to the company. The Chairman made a few remarks on the good prospects of the newly floated company, after which, success to it having been drunk, the meeting terminated.
