(Per Press Aseociation.) Dunedin, yesterday.

At the annual meeting of the New Zealand Port'and Cement Company, the Chairman made reference to the reoent successful flotation of 10,000 reserve shares. Since issuing the report and balance sheet there bal been further consultation with the Auckland board respecting the distribution of profit?, and the following modified scheme was now recommended for adoption : —Write oS the profit and loss suspense account £I7OO, silica patent right £2OOO, plant £7OO, pay dividend at tbo rate of 8 per cent, on all shares ou the register on October 31st last, absorbing £2400, and carry forward £876 19s 2d. ? Messrs E. Herbert, P. Barr,' J. M. Begg (Dunedin), T. Buddie, J. M. Chambers, E.. T. Georgo and C. Rhodes (Auokland) were ‘ elected directors.
