Since they had last met the amount of cncouiagstneut had inu cased so mateiially that the pio\incial dncctors had deemed it advisable to call the shaieholdeis together and pioeeed with the st.nting of the factoty without any fiuthei delay. The number of shares taken up was 2222, and if they deemed this numbei suiMuent, and lie had eveiy icason to brhe\e they would pioeeed with the mattci out of hand. The nominal capital of the company would lie 2,Z00 shares. Mi Gillctt pioposed that a company lie formed to be called the Cambridge Davy rioduccand Cliccse Factory Company with a nominal capital of 2,300 sli ues. Mr Lewis seconded, and the proposal was can led nnaimmously. It was agieed that Mr F. A. Wlntaker, solicitor, be instiucted to draw up a deed of association. On the motion of Mr Ferguson it was agi ced that the number ol dneotors be seven. On the motion of Mr Hill it was agreed that the number of shates to qualify a shaieholder to be a diiector be 27). Mr Gillet pioposed that Messis Kalleuder, Riclmd«on, Lewis, Watt, Hill, Feiguson and Alhvill be the directoiy. Mr Sargent seconded. Mi Allw ill thought that the Hamilton road should be leprescntod on the directory, but as no sluueholdor in that locility wo.-, duly qualified, the suggestion was not gi\en eftcct to. The gentlemen above named weie unanimously appiov ed of as a directory for the ensuing year. The Colonial Bank wa-s unanimously appointed the bank of the company. Mr Allwill cxpiessed himself against staiting the factory this season, lie said the season would be too far advanced when the factoiy would be completed to commence operations He believed the majority of the shaieholdeis weie of the same mind. It weie better that they should take their tune and have the tiling piopeily done than to proceed with it with such undue haste, and possibly have an impel fectly built factoiy and inefficient machineiy, tor by doing things in such a huriy they would be hLely to oveilook faults and deficiencies, which at other times would be only too apparent, lie thought they should wait until next spring. Mr Watt opposed the delay. They would bousing the shareholders' money m the meantime, and a laige number of the shates were taken upon condition that the f.ietoiy should be staited this month.
