TE A ROH A. [FROM OUR OWN CORRESPONDENT.] Te Aroha Quartz Crushing Battery Company.

MEETING OF SHAREHOLDER-.. A general meeting of the shaieholders in the above Company was held ou Saturday evening last m O'Halloran's Hot Springs Hotel, for the purpose of taking the npoessaiy steps for the registration of the Company, election of Directors, &c. Mr Gould was voted to the chair, arid after leading the notice convening the meeting called upon Mr A. Porter one of the Provisional Directors to report the position of the Company. Mr Porter said in conjunction with Messrs Win taker and Mamies, he had visited the Waikato, Thames, and Auckland Districts, on behalf of the Company. In Hamilton and the Waikato generally they had found the people well disposed to take up shares, but they had received very little assistance from the Thames, and still less from Auckland. Applications for 2,500 shares had already been received and a considerable number more were expected to be applied for shortly, the shares already applied for gave them a capital of £boo to start with, and he did not anticipate any difficulty in placing th 2 remainder. The Pi'ovisional Directors had invited tenders for the erection of the battery, and considered Messrs Price, Bros., tender for £SBb' as the most suitable, Mr H. E. Whitaker proposed I 'That the shareholders form themselves into a company under the Mining Companys Act of 1872, for the purpose of crushing quarts, and cairying on any business connected with a Battery Company." Seconded by Mr R. Parr, and carried. Mr Whit.iker proposed ' ' That the company consist of 4001) shares nil paid up." Seconded by Mr O'Ha'loran, and carried. Mr A. Potter proposed, and Mr McLean seconded, ' ' That the number of directors be five." An amendment proposed b^ Mr Collins, " That tho number of directors be boven" was put and lost, the original motion being declared carried. The following gentlemen were then nominated for the om'ce of directois: — Messrs R. Parr, Gould, Adam Porter, Jas. Grabble, H. H. Adam<, James Lavcry. J. B. Smith, E. FrUpatrick, P. Quinlau G-. S. O'Halloran. On a ballot being taken Messrs t-rould and Parr were declared olected by a considerable rriajouty, whilst Jas. Unbble, H. H. Add,ra&, J. B Smith, <md E. Fit/patrick had an equal number of votes, it ,was therefore necessary to t<ike a fresh bxllot to see which of the>e four gentlemen should stand out. The second ballot resulted in the election of Messrs Adams, Smith, and Fitzpatrick. Mr Porter proposed, and Mr Parr seconded "That Mr 11. E. Whitaker be legal manager, and that the office of the company be at his office, Te Aroha." — Carried. The question of the legal manager's salary was left to the directors, Mr Whitaker saying that he took a great interest in the company. If it was successful, he would take a small bonus for office rent and expenses ; if not successful, the question of salary would be allowed to lapse. The qualification for the office of director was fixed at 25 shares, and it was decided that the first annual meeting should be held in May next, the directors to fix the date. It> was also decided th.it on a requisition by shareholders holding 1000 shares, the manager should be empowered to call a special meeting. A vote of thanks to the provisional directors for their past services, and also to the chairman, concluded the proceedings, which were very unanimous and enthusiastic throughout.

The principal news here is the successful floating of the Battery Company at the meeting last Saturday, a repoit of which I send you. Great credit is due to the Waitoa settlers for the pronrpt manner in which tiiey have taken up the matter, subscribing largely for shai'es when they found that there w.is a difficulty in floating the company. The shareholders marked their appreciation of this by placing three well-known settlersMessrs Gould, Smith, and Parr— on the directory. The work will be vigorously proceeded with, and it is hoped will be in full operation in six weeks' time. The promising indications which I have from time to time reported as existing in the various mines still continue. In the Morning Star, the prospect looks most encouraging, and in all parts of the field a more hopeful tone prevails. On Friday the Don sent a parcel of quartz (about one ton) to the Thames for crushing. They report a good prospect when tried in the dish, and are sanguine as to the result of the crushing. On Friday, the manager of the Te Aroha started driving on the leader in the winze, at a depth of 30, feet. He intends driving about 30 feet, and will then crosscut to the face again. < The stone from the "Waikato mine is assuming a still more promising appearance, gold being frequently visible. In the township things are very quiet. During the day very few people are visible, the whole of the miners here now being busily engaged in prospecting their ground. The drones appear to have all cleared out, only tb,e bees, are left, and consequently work is progressing more satisfactorily ; and there is an absence of any sensational news as to alleged rich discoveries, which were so prevalent a short time back, and which did so much ,tb destroy confidence in the field. On jSaturd&y a cricket match was "played at Waitoa, between, a team, of the Waitoa Cricket Club and a scratch team from Te Aroha.' The teams war§ captained, by Meagps Smith,,' Waftaft, and jF,.
