THE association has been formed for the purpose of acquiring the old established and successful General Business of Messrs M. Caselberg & Co., at Masterton and Greytown, and Messrs Joseph Nathan & Co .'a Retail Business at Tinui, in the Wairarapa District, and hereafter to carry on a general business upon the co-operativo prinoiple under which shareholders and customers of the Assooia' tion will share in the profits, according to methods to be dstermined from timo to time by the Directors, and for tho other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospectus, An association of this nature requires, in the chief centres, commodious business promises repletewith facilities foreconomically and expeditiously carrying on tho distributing trado. Experienced managers with a thorough knowledge of local requirements aro indispensiblo for the efficient conduct of the business, and for keeping good saleable clean stocks, It is necessary to know in what markets at what seasons, and in what quantities to buy theirrequirements. It is of even greater importance to know how, where, and whon to exportor otherwise dispose of the produce to the bast advantage, But tho real dilßcullies of all such institutions is tho beginning; for they must have capital at command, and. have such financial arrange ments, not only in the Colony, but in the various markets of the' 'world, as will inspire the utmost confidence to enablo it to build up a first-olass oredit and good name, and thus transact business on rookhottom limits. Tho profits of tho Association after payment ot expenses will belong to, and be distributed amongst tho shareholders. It is at present proposed after payment to shareholders of a dividend of 7 por ,'oeut upon amount of paid up capital to divide part of the balanco of the protlts amongst the shareholders, according to the amount of business done by each,. and a bonus to employees, and to earry part to a Reservo Fund lor the equalisation of dividends, and for tho distinct object of starting or investing in suoli local industries ia tho district, as will prove conducive' to the welfare oi the shareholders, employ labour, and promote the wealth aud population of the district, The Association will wherever jufficientinducement is offered by Bottlers and others, and subject to the consent ol tho shareholders, endeavour to ally itself, o amalgamate, with similar institutions, and thus by sharing tho cost of management and conduct, of business, reduce expenses and enlarge its sphere of usefulness, This is far from being a speculative concern, The businesses of the vondors have been carried on successfully for the last twenty-five years; and tho promoters have such confidence in tho future of tho Association that they aro prepared, so long as Mr Caselberg is allowed a controlling voice in tho management of the concern as heretofore, to guarantee a dividend of not less than 6 per cent for the next five years, ■ Jt should be plainly understood that the promoters do not desire now, nor in the future, to take out their capital, but to car,y on the business on the new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom nave been known to you for the lust fifteen years. Disinterested experts will bo omployed to certify that stocks have been taken at also lute cost, and all bad or old stuck has been reduced io the murket valuo ortakou away altogether, Book debts taken over are guaranteed against loss by tho vendors. The following contracts have been made, namely:— 1, a contract between Messrs MCasel berg & Co., and tho Association. 2, A contract between toessis Joseph Nathan & Co. , and the Association Applications for shares should be made upon the accompanying form, and forwarded to the Binkeiß o the Association, together with the amount payable on application. If no allotment is mado the deposit will be returned without deduction, and where the number of shares allotted is less than the number applied for, surplus will bo credited in reduction of the amount payable on allotment, A form ot Application for Shares is annexed, and a copy ot the nienioraud,iin of Association will be found endorsed on this prospectus.
