It is of oven greater importance to know how, where, and when to export or otherwise dispose of the produce to the best advantage, But "the real difficult ties of all such institutions is the beginning ; for they must liavb capital at command, and have such fiuanoial arrangements, not only in the Colony, but in the various markets of the world, as will inspire the utmost confidence to enable it to build up a first-olass credit and good name, and thu3 transact business on rock bottom Units.

The profits of the Association after payment of expenses will belong to, and bo distributed amongst the shareholders. It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of tlio profits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to carry part to a Iteserve Fund for the equalisation of dividends, and for the distinct object of starting or investing in Buoh local industries in the district as will prove conducive to the welfare cf tho shareholders, employ labour, and promote the wealth and population of the distriot, The Association will wherever sufficient inducement is offered by settlers and others, and subject to the consent of the shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness.

This is (ar from being a speculative concern. The bnsinesces of the vendors have been cairicd on successfully for the last twenty-five years; ajd trio promoters have such confidence in the future ol the Association that they are prepared, bo long as Mr Caselberg is ollowed a controlling voice in, the management of the concern as heretofore, to guarantee a dividend of not less than G per cent for tbe next five years. It should be plainly understood that the promoters do not desiro now, nor in the future to take o>-t their capital, hut to carry on the business on the new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom have been hown to you for the last fifteen years, Disinterested experts will be employed to certify that stocks have bten taken at abso'uto cost, and all bad or old stock has been reduced to the market value or taken away altogether, Book debts taken over are guaranteed against loss by Iho vendors, The following contracts have been made, namely:— 1.
