By Telegraph—P>ess Association.

AUCKLAND, March" 14

• The local directors of the Waihi Company, Messrs S.. T. George and /Chas. Rhodes, ha,ve issued a circular to 'shareholders soliciting proxies in favojir of the election of the present directors in London. •

Referring to the Wellington; Con> mittee's request for proxies in favour of Mr Taiphanj, who it is stated is not registered' as a shareholder, the circular states that the confidence of the .shareholders lias been expressed individually and collectively in the present directorate. 'The loeaMireetor&feel confident that the .large body of shareholders who 'still; thi£ . '* if 1 to make-: the posftion •. of. the board still more difficult: To endanger the' . re-e'ection of> Mr the present chairman, they urge," would be a step full of risk to the welfare of the Company; They express themselves as convinced that there is; no foundation for the suggestion that the directors of. the executive made umvorthy use of their information. They assert that personally neither of them has benefitted by any trafficking in Waihr shares. Neither has been concerned in any operations whatever in shares since the market .to fluctuate more than a year ago. • Motions are to be submitted at the s annual meeting requesting the directors to obtain a complete report by a first class mining engineer j not a resident of New Zealand, upon the whole position of the mine—particularly the methods of working ore reserves—and the management generally. It will be moved that all reports, cabled or otherwise, be published immediately in New Zealandi and London, and 1 that the question of the leakage of information be investigated and all possible steps taken to prevent such leakage.
