CLARK'S HILL PROSPECTING COMPANY.

The adjourned meeting of the Company was held according to advertisement, at 8 p.m. on Tuesday evening, 4th inst., at the Victoria Hotel. Mr. W. Jamison in the chair. The Chairman tendered the resignation of the provisional directors and briefly stated the business before the. meeting, calling on the hon. Secretary, Mr. H. L. Squires, to state the position of the Company. The Secretary went into a detailed explanation of the plan, showing the line of tunnel and claims adjacent to it, and the conditions of agreement with Messrs. Clarke and Trayes. He held £176 18s., collected as deposit on allotment (2s. per share) on 1769 shares held by 23 shareholders. A discussion ensued as to the terms on which the Gabriels Gully Go. had joined the Company, and it was pointed out by Mr. W. D. Morrison aud others that some further provision would be necessary iv the event of a new reef being struck in the course of the tunnel through the Gabriels Gully Co.'s claim. " Mr. Squires, as manager of that Company, acknowledged the reasonableness of the further conditions suggested, and it W£S resolved "That it be an instruction to the directors about to be appointed not to enter into any contract or incur any expense until all such necessary provisons had been definitely arranged and agreed to." The name of the Company was then fixed as the Clarks Hill Prospecting Co. , with a capital of £4500 ; in 4500 shares of £1 each ; the Company to retain 1500 shares, to be_vested in the legal manager as trustee. Mr. Barton suggested that present shareholders should have a preferential right to take up these 1500 shares when released. ~ The Secretary explained that they could only be dealt with hereafter by a resolution coming from an extraordinary meeting of the shareholders of the Company. The registered office of the Company was fixed temporarily at Gabriels Gully. Mr! H. Ia Squires was appointed manager. The number of permanent directors was fixed at 9 — S to be a quorum. The following gentlemen were then elected directors: — Messrs. Arch. M'Kinlay, Rich. Williams, F. Nicoll, Jonas Harrop, H,. L. Squires, Win. Jamison., Fred. Wedlake, J. C. Brown, and Alexr. Armstrong. The first call to be*~made to be- is Is., per share on the 2nd Wednesday in May, and Is per share on the 2nd Wednesday in each month following as required. A draft of rules for the working of the Company was read by the- Secretary, and passed clause by clause after necessary alterations and amendments^ The directors were authorised to allot the balance of shares unallotted in order of application, and, as soon as 3000 shares should be allotted,, to register the Company under the Mining Companies Act, 1873. This closed the business of the meeting.
