(1) To guarantee the payment of money and the performance of contracts and obligations of all kinds (toy bond or otherwise) and to guarantee the due payment of money secured by or payable under or in respect of debenture bonds, debenture stock, contracts, mortgages, charges, obligations, instruments by way of security, and securities of any company or of any authority, supreme, municipal, local or otherwise or of any person whoinsp- . ever, whether corporate or incorporate, and to give security by way of mortgage charge or lien over any of the property, real or personal, presont and future of the Company including its unoalled capital to any director, other person, or firm or body corporate guaranteeing the performance of any obligation of the Company. (m) To adopt and carry into effect and ratify the performance of all contracts and obligations hitherto entered into by the Company. (n) To take or otherwise acquire a.w) hold shares in any otiher company having among its objects any of the projects (principal or subsidiary) of thip Company or carrying on any business capable of being conducted so as directly or indirectly to benefit the Company and to take or otherwise acquire shires in any Agricultural Show or Winter Show Company, (o) To promote or jom in promoting any otiher company for the purpose of acquiring all or any of the assets or liabilities of the company or for any purpose which may seem to the Board oi Directors of this Company calculated to benefit it directly or indirectly, (p) To borrow or raise money iu such manner as may be thought fit and in particular by the issue of debentures or debenture stock and to secure the repayment of any moneys borrowed or raised or owing by the Company mortgage, dharge or lien upon the whole or any part of its property, real or personal whether present or future including its uncalled capital and also •by a similar mortgage charge or lien to secure and guarantee the performance by the Company of any obligation or liability it may undertake or has undertaken. (q) To lend and advance money or give credit on such terms and either with or without security as may be thought fit to customers, shareholders, suppliers and others having dealings with the Company. (r) To apply for or join in applying for purchase or by other means acquire and protect picking and renew any patents, patent rights, brevets, inventions, licenses, protections and concessions which may appear likely to be advantageous or useful to the Company and to use and turn to account and manufacture under and giant privileges in respect of same and to expend money in experimenting and testing and in seeking to improve any patents, or rights which may be acquired or proposed to be acquired by the Company. (s) To draw, ma&e, accept, endorse, discount, execute and issue bills of exchange, bills of lading, promissory notes, dockets, and other warrants and other instruments so as to be negotiable or transferalble by delivery or to order or otherwise. (t) To receive money on deposit at interest or otherwise. (u) To grant to ticket-holders and others any privileges and advantages and to make arrangements with any person engaged an any trade, business or profession for the concession to the Company's memibera, ticket-holders and their friends of any special rights, privileges and advantages and in particular in regard to the supply of goods. v) To act as agents, indentors or brokers for any person firm or 'body corporate and to act in any of the business of the Company through or by means of agents, or others and to act as fire, marine, accident and life insurance agents.

To procure the Company to be registered or recognised in any .part of the "world, and to do in any p&rt of the world all or any of the things hereinbefore mentioned. (x) To support and solbacrilbe to a' charitable or public objects and institution, society or clulb which may be for the (benefit of the Company or its employees or may be connected with any town or place where the Company carries on business and to give pensions, gratuities or charita/bfe aid to any, person or persons who have' served the Company or to the wives children or other relatives of such (persons and to form and contribute to provident and benefit "funds for the (benefit of any geraons employed by the Company. (y) To apply for, promote and oibtain any provincial order or Act of Parliament, leave, license or other authority to enable the Company to carry out all or any of its objects for the purpose of obtaining for the Company any additional powers or for any other purpose which may appear to the Conufjiny expedient in the interests of the Company and to oppose any bills proceedings or applications which may seem to the Company likely to prejudice the Cotapany's interests directly or indirectly. (z) To do all such other things as may be deemed incidental or conducive to the attainment of the albove objects or any of thean. AND NOTICE IS HJRTHER, GIVEN that the said Petition ig directed to be heard before the Honoralble Mr. Justice Hosking on TUESDAY, the 23th day of June 1948, or as soon thereafter as counsel can be heard at the Supreme Courthouse, Wellington, and any person interested in the said Company whether as creditor or otherwise desirous to oppose the making of an order for the oonfiimation of the said alteration under the albove Act aUuwM appear at the time of hearing by himself or lite counsel for the puapose.
