ANNUAL MKKTrXG. i ! The annual meeting of the Lepperton • Dairy Company was lield in the Lepperton Ilall cm Friday evening. Mr. W. Crowe (chairman of directors) presided over an attendance of twenty-four shareholder*. REPORT. The nineteenth annual report was read as follows:—"The milk received was n.3(MJ,o3:ilh, et|ual to 137,51{>.3'321b of butter fat. Jiutter made amounted to lSH;2s«lli. equal to 08 tons 17c\vt lqr. 4lb. ]t took an average of 21.51b of milk to make lib of butter. Each lib of butter fat made 1.121b of butter. The average test was 4.09. Out of the surplus of £31!) 10s Id your directors proposed to pay 5 per cent, interest on shares capital subscribed to August 31, 1!)10, ( ,C(i73 3s), to make a payment to suppliers of 17-40 d per pound of butter fat for the season ( £2-13 10s 3d), and to carry the balance forward. Suppliers will then have received an average of 10 2-sd, or, including interest, a little over 10'/ 2 d per lb of butter fat for the season. Your directors are prepared ; to accept the surrender of a limited number of shares from non-suppliers. You will be culled upon to elect three directors in place of Messrs. Kickard, McKee and Sehofes, who retire by rotation and who are eligible for re-election. You will also be called upon to appoint an auditor, and to lix his remuneration. Xlr. Ilopson's services are again available." , The chairman proposed the adoption of the report. This was seconded by Mr. McKee and, after very slight discussion. adopted. ELECTION OF OFFICERS. There were three vacancies on the directorate, and four nominations were received, viz.. Messrs. McKee, Munro, Seamark and Aekland. Messrs. Kickard and Scholes did not seek re-election.' Messrs. A. Wright and Luke were appointed scrutineers, and the poll resulted as follows: Mr. McKee G5, Mr. Munro ")7. Mr. Seamark 54. Mr. Aekland 43. The three first-named were declared elected. Mr. M. flops on was reelected auditor. SPECIAL RESOLUTIONS.
On the motion of Mr. Lepper, seconded bv Mr. Seamark, the following resolution was carried: ''That Article 7 of the company's Articles of Association be deleted and the following article substituted therefor: 7. Article 30 to Table A of the Companies Act, 1882, is hereby modified by striking out the words 'on the first Monday in February in every vear at such place as may be determined by the directors.' and inserting the words ' in August in every year on such day and at such place as may be from time to time determined by the directors.' after the words ' a general meeting shall be held.'"
On the motion of Messrs. Atkinson anil Old the following resolution was also carried: "That the directors be requested in future to lay before the annual general meetings of the company a statement of the income and expenditure for the past year made up to 30th day of June instead of the 31st day of August; the statement, to be laid before the anI mial general meeting to be held in August, 1912, to be made up from the Ist day of September, 1011, to the 150 th day of Juno. 1012." GENERAL. Several shareholders spoke in eulogistic terms of the good work done by the manager (Mr. W. Roberts), who is now entering on his seventh year with the company. It was resolved to vote him a bonus of £lO. and also to recommend the incoming directors to increase his salary. It was also decided to recommend that an advance of lid on butter fat be paid out during the season. Votes of thanks to the directors and to the secretary (Mr. W . E. Percival) terminated the meeting. At a meeting of directors held subsequently Mr. W. Crowe was re-elected chairman for the eighth year in succession. '
