CHAIRMAN’S HONORARIUM. Discussion at Factory Meeting. When the question off fixing the remuneration of the chairman of the Tokoroa Co-operative Dairy Company was arrived at the annual meeting, it was found that a somewhat curious position had arisen, and some little time was spent in arriving at a satisfactory solution. Mr. A. B. Walker said that the general custom was to vote the chairman an honorarium for past services. Apparently last year they voted this for future services. To get over the position that had arisen they would have to leave the question until the next annual meeting. Several shareholders stated that apparently the custom in Tokoroa was to vote the honorarium for future services.

The secretary stated that Mr. Mossop would receive the increased honorarium voted at the last annual meeting in a few days. Mr. Bryant moved that the chairman’s honorarium for the forthcoming season be held over until the annual meeting.

This being seconded by Mr. A. B. Walker, was put to the meeting and carried.

The question of fixing the directors’ fees was then brought forward, and Mr. Flavall, speaking as a retiring director, thought that the fees should be increased, as they (the directors) did a lot of work. The chairman (Mr. Mossop) stated that the directors had held two or three meetings outside the ordinary monthly meetings, and they did not get paid for those. A shareholder said that at some places the directors were paid after each meeting, those not present not getting any fees. The chairman referred to the fact that the directors did a great deal of work that they did not get paid for, nor even got thanks for. Mr. Bryant said that, the chairman’s work was appreciated, and he (the speaker) considered that the chairman’s remarks were uncalled for. Mr. Bryant moved and Mr. C. Dyson seconded, that the directors receive £3 3s a season plus 10s for any special meetings called. Mr. Flavell moved as an amendment that the directors receive 10s for each ordinary meeting attended. Mr. J. S. Dyson seconded the amendment, which was carried on a show of hands by 16 votes to 4.
