New Zealand Spectator, AND COOK'S STRAIT GUARDIAN. Wednesday, November 14, 1849.

i We perceive that an attempt is made in last i Saturday's Independent to deny the truth of I the report to which we alluded on the pre- ! vious Wednesday, that the Directors of the New Zealand Company were dissatisfied with the course pursued by Mr. Fox towards Mr. Bell on the latter's accepting a seat in the Legislative Council, and that he had received from that body a severe reprimand for his conduct on that occasion. This report the writer in the Independent stigmatises as a malicious falsehood, and asserts that if the names had been transposed it would have been correct, that is (if there be any meaning in his words) that Mr. Bell is the party censured, not Mr. Fox. We pass over, as beneath our contempt, the low and vulgar abuse of ourselves by this writer, who has as little honesty as honour ; dn noticing his denial of the report alluded to it is apparent that .a clumsy attempt is made to refer to the despatches received previous to the Ke-so's arrival, conferring additional powers on the Principal Agent,

as affecting the present question. The public are by this time so accustomed to the misrepresentations in the Independent for the furtherance of party objects, that they will put little faith in this denial of a report which has reached the colony through various sources which are above suspicion, and which is further confirmed by the contemptuous tone and evident disgust with which the faction is spoken of by the Ac» Zealand Journal, which the Independent admits to be under the immediate influence of the New Zealand Company, just as the Independent is itself under the influence of Mr. Fox who is one of its reputed editors, and it is therefore bound to obey his bidding. We repeat that the report was generally circulated, and we need hardly add that the censure was believed to be well-merited. If Mr. Fox wishes to throw discredit on the report, the most effectual course he can take would be the publication of a true unmutilated extract from the despatch by the Kelso referred to.as no one attaches the slightest consequence to such anonymous denials as that in the Independent, but this we suspect would not answer his purpose. There can be little doubt if the directors had been acquaint, ted with all the circumstances before the Annual Meeting of the Company, they would have paused before conferring on their present Principal Agent additional powers, and we shall not be at all surprised to learn that some alteration or modification is made by them in the powers thus unwittingly given. The contradiction in the Independent reminds us of Mr. Fox's attempt to explain away and throw discredit on the statement of his having accepted employment under Government at three guineas a da} 7 previous to obtaining his present office, which nevertheless is a fact established on the best authority.

It was reported yesterday that his Excellency the Govern or- in- Chief had arrived at Waikanae on board H.M.S. Fly.

We are requested to remind the members of the Horticultural Society that the next Exhibition will take place on Tuesday, the 20th inst
