THE SOUTH BRITISH FIRE AND MARINE INSURANCE COMPANY OF NEW ZEALAND.
Notice is hereby given that the Ordinary General Meeting of the Shareholders of the above Company will be held at the Head Office of the Company, Queen Stieet, Auckland, on WEDNESDAY, the 12th day of October, 1904, at eleven o'clock in the forenoon. Business : To receive the Report and Balance-sheet for the year ended 31st August, 1904. To elect two Directors in place of John Edson, Esq., and John Batger, Esq., who retire in accordance with the Articles of Association, but are eligible and offer themselves for re-election. To elect two Auditors in place of G. S. Kisshng, Esq , and W. B. A Morrison, Eaq , who offer themselves for le-election. As soon as such business is concluded, the Meeting will resolve itself into an Extraoidinaiy General Meeting for the purpose of considering, and, if approved, of passing the following three resolutions, which are intended to be proposed to the Meeting as separate and distinct resolutions :—: — Resolution No. 1. (a) "That of the Authorised Capital of the Company there shall be disposed of, in manner hereinafter specified, the shares in the said Company unissued amounting to 35,372. (b) "Each shareholder whose name shall appear on the Company's Register on the 12th day of October, 1904, shall be entitled to have issued to him one share for every two shares held by him on that date ; that the shaies so issued, numbering in all 32,314, shall each be ci edited with £1 paid-up, and the Profit and Loss Account shall be debited with the sum of £32,314. (c) " Any shareholder who holds less than two shares, or whose holding does not form a multiple of two, shall, on payment of £2, be entitled to have issued to him one of the unallotted shares paid up to £1 ; the sum of £2 received for such share shall be disposed of by placing £1 to the credit of the paid-up Capital Account, and £1 to the credit of the Reserve Fund Account; oi, in lieu of one such shaie, the Shaieholder may, at his option, leceive from the Company the sum of £2 in money, which sum shall be debited to the Profit and Loss Account, provided always that either option shall be exercised on or before the 30th January, 1905.
