— . » ... MEETING OF D_B__OTOBB. ' A meeting of Directors took place at Messrs Thynne, Linton and Co's office on Tuesday last. Present — Messrs Sanson (Chairman), M'Lennan Tuynne, Gray, Whyte, J. Bowater, and Gower. The minutes of last minutes were read and confirmed. The correspondence was then read. It included a letter from the UnderSecretary for Public Works, warning the Company that until the Governor's assent was formally given, any survey work done would be at che Company's risk. Also, a memorandum from the Chief Engineer for North Island to the Minister for Public Works, pointing out various supposed discrepancies in plans, &c. A reply by Mr Hayns to these objections waa read, which full) explained them. The Chairman fully explained the action taken by himself and Messrs Gray and M'Lennan on the deputation in Wellington. He also urged that the Directors should press the Government for an early reply one way or another. In reply to Mr Thynne, the Chairman stated that the tender of Mr Hayns, to survey the line for £200, was accepted conditionally on the Governor's consent being obtained. In reply to Mr M'Lennan, the Chauman stated tbe Secretary was at present receiving £100 per annum*. Messrs Thynne, M'Lennan and others thought that until the Governor's consent was obtained, the Secretary's services should be dispensed with, as a large expenditure was going on, and the Secretary had no work to do. Mr Gower thought two courses were open— either to wind up the Company and summon all defaulting shareholders, or to hold matters in abeyance until the depression lifted. The general feeling of the meeting was that the Company should. hold on, but in the meantime stop all expenses. Mr Gower expressed hhuself in favour of summoning all defaulting, shareholders, and thus put matters o_ a sound footing. Mr M'Lennan thought no dunrmonses should be taken out until the ' ' Governor's consent wejs obtained: Until that was received, matters 1 ' could not be put on a sound foundation. ' Proposed by Mr Thynne, seconded by Mr M'Lennan, and carried, " That the Chairman be requested to give one month's notice to the Seoretary o terminate his appointment, and in

A discussion took place on the desirability of the Company's office being fixed at Foxton instead of Sanson, but no alteration was made. Tt was resolved to hold the next meeting of Directors on April 20, at Messrs. Thynne, Linton & Co's office, .Foxton, and that the Secretary be' requested to forward the books, accounts, &c, to Foxton a week before the meeting. Proposed, by Mr Gray, seconded hy Mr Bowater, and carried, " That the Directors desire to draw t_e attention of the Hon. the Minister for Publio Works to the loss and inconvenience that the Company has suffered owing to the delay in obtaining the Governor's consent, and do now most urgently request that he will assure himself that the Company has fulfilled all the necessary require^ ments of -the District Railways Act, and tnat he will now without further loss of time place the particulars before his Excellency the Governor, and obtain the required consent." This concluded the business, and the meeting terminated with a vote of thanks to the Chairman.
