NOTICE, AMENDMENT OF REGULATION AN Extraordinary General] Meeting ol the Gisborne Sheepfarmors’ Frozen Meat Company, Limited, will be held at the Offices of the Company, at Gisborne, on SATURDAY, January 27tb, 190(5, at 10.30 a m., to consider the following Speoial Resolutions RATE OF DIVIDEND. 1. That the maximum rate of Dividend which may be paid in any one year to Shareholders be raised to 6 per cent,, and that Artiolo 84 be amended to rerd : “ The Direolors may from t'me to time, with the sanction of the Company in General Meeting, declaro or p y a Dividend to the fchareholders, not being more than at the rate of 6 per cent, per annum.” EXTRAORDINARY GENERAL MEETINGS. 2. That Articles Nos. 37, 38, and 30 be repealed, a,nd th it the following provisions be adopted as Art'cles of the Company in lieu thereof: (a) The Directors may, whenever they think fit, convene an extraordinary General Meeting. (b) The Directors shall, on the requisition of the holders of Shares representing not less than one tenth of the issued Capital cf the Company, upon which all oal's or other sums then due have been paid, forthwith proceed to convene Bn Extrao dinary General Meeting of the Comp iny. (c) The requisition shall state the objects oi the meeting, and be signed by tho requisitionists and deposited at the Office of the Company, and may consist of several documents in like form, oach signed by one or more requisitionists. (d) If the Directors of the Company do not prooeed to cause a meeting to be held within twenty-one days from the date of the requisition being eo deposited, the requisitionhts, or a majority in value of them, may themselves convene the meeting, provided that the meeting so convened shall be held within three months from the dqte of such deposit, e) If £*t any such meeting a r< solution - requiring confirmation at another meeting is passed, the Direotors shall forthwith convene a further Extraordinary General Meeting for the purpose of considering the resolution, and, if thought fit, of confirming it as a Special Resolution; and, if the Dirictors do not oonvene such further meeting within seven days from the date of the passing of the first resolution, the requisitioniats, or a majority in value of them, may thsmselvcs convene the meeting, m Any meeting oonveped by requisition-, ' ist3 in terms of these Articles shall be convened in the samo manner, as nearly as possible, as meeting convened by Directors.
