Cheltenham Dairy Company.
An extraordinary general meeting of shareholders in the Cheltenham Dairy Compana was held in the schoolhouse, Cheltenham, last evening, to consider proposed amendments to the Memorandum and Articles of Association. About thirty - five shareholders were either present or represented by proxy, and the chairman of directors, Mr F. Spencer, presided. The Secretary, Mr R. C. Templer, having read the notice calling the meeting, the Chairman explained the reasons for suggesting the alterations. It was found very inconvenient to have the registered office of the company in Feilding, and with reference to the alteration proposed in the direction of having an annual in place of half-yearly meetings of shareholders, a saving in expenses would be effected, besides half-yearly meetings cut into two seasons and the affairs of the company were thus misrepresented in the balance-sheet. As to the alteration in article 27, it had been found difficult to get a quorum, and he thought it advisable to make the amendment. On the motion of Mr Spencer, seconded by Mr Church, it was resolved to amend section 2 of the Memorandum of Association by striking out the words " office of Mr W. A. Sandilands, solicitor, of Fergusson street, Feilding," and insert in lieu thereof the words " Company's Factory, Kimbolton road, at Cheltenham." To amend Article 29 of the Articles of Association by striking out the word " Feildin{? " and inserting " Cheltenhem." It was resolved on the motion of Mr Spencer, seconded by Mr W. C. Cunningham, to amend Article 24 of the Articles of Association by striking out the words " and the fourth Wednesday in March," and to amend Articles 74, 75, and 76 of the Articles of' by striking out '♦ half " wherever it occurs in such artioles. Qn the motion o f Mr Spencer, seconded by Mr Jas. Barrow, it was resolved to amend Article 27 of the Articles of Association by striking out the wards « onefifth in number of the " and inserting in lieu thereof the word " twenty " ; also, by striking out the words "one-fifth of the whole number ot subscribed " and inserting in lieu thereof the words " twohundred." On the motion of Mr W. D. M Banks, seconded by Mr \V. Jones, Mr E Goodbehere was appointed auditor for the coming audit, in plape of Mr A, Fergus* eon, who resigned. The meeting (hen adjourned.
