Registrar states case on appeal

PA Wellington An appeal by the Registrar of Companies in respect of a prosecution against Securitibank, Ltd (in liquidation) was heard by Mr Justice Ongley in the Supreme Court at Wellington yesterday. Decision was reserved. In 1977, the company was convicted in the Magistrate’s Court on six charges of breaches of section 48(B) of the Companies Act relating to the issue of prospectuses. The Court then held that brochures issued by the company were prospectuses within the meaning of the act, but that an advertisement in the “Dominion,” and circulars sent in response to that advertisement, were not in breach of the act. Six charges in respect of that were dismissed. The present appeal, by way of a case stated, is against that dismissal. The Court is being asked to decide whether the Documents sent in response to the newspaper advertisement could be taken into account in determining whether the advertisement was a prospectus within the meaning of the act, and, if so, did the newspaper advertisement amount to a prospectus.
