A preliminary *greement has been entered into between the firm and the
Pi ovincial Directors, residing in Dunedin, for the sale and purchasa of ihe freehoM and leaseh-11 lands and buildings belonging to the firm, and now mtd for the purpose tf the business, at a price or value to be acart ined by the valua'ors, Messrs. Wales nnd Brown. It Las been arranged that the new Company shall take over the plant, machinery, fix'-nres, and ent're stock-ic-irade at the actual cost to the firm, and all other the asietß and. liabilities of the firm. Orders in course of ex< cution, and goods to arrive, are to be taken over at actual cost. The Company will also obtain the benefit of all the PATENT AND PROPHIETAHY. ABTICLE.s on the same terms upon which these are now held, or manufactured by the firm, and also of all existing contracts and current business agreements, which the Company will nnderttke and complete.
The firm agrees to ta' e shares to the value of £-50,000 fully paid-up ( ufilueive of 3750 shares allowed for the goodwill of tho busin sa). The JDunediu and Branch Houses are in full, and coaipleto working order, with good s, and all necessary appliances for carrying; on an f-xtensive trade. Messrs T. W. Kempthorne and Evan Fro«er have consented to continue the management under the prrp >sed new Company. The Wellington and Auokland branches are conducted by Messrs T. Ancell and J. W. Henton, who have been for many years in the service of the firm, and who are thoroughly competent and experienced men of bu-,ines\ The branches wete established with a view to seen e •hi local and general business of the firm's ordiniry customers, and especially < f the Chemists and Druggiats throughout the colony—obj cfcs which have been satisfactorily a tained. The Factory at Ounadia is managed by a duly qualified Manufacturing Chemis; of ex;enM7e Euiopean and Colonial experience. The Steam Plant, which is well worthy of inspection, is of the very best class, with the most approved drug-griuding miils, and all modern appliances for the manufacture of chemicil and pharmaceutical preparations.
The promoters confidently place this undertaking before the public as a bona pie paying- investment, and, in doing so, would instance the advantage of securing anold-established and lucrative business with a large manufacturing and import . mg trade in full operation, as contrasted with the risk generally attendant upon now mercantile ventures. The rapid advancement of the colony opens a wide field for manufacturing industries in connection with tliis business, such as Sulphuric Acid Works, Artificial Manures, &c. It is, therefore, necessary that the present operations of the firm should be extended, for which a larger capital chau the firm at prcß?nts commands will be required. Although the amount of £IOO,OOO to be called up is a larger sum than the invested capital of Messrs Kempthorne, Prosscr and ( 0., yet the amount of money employed in the on-incKß upon Avhich interest was paid, was not much short of the amount now proposed to be called up, and, therefore,
