This Company is projected for the purpose of acquiring the well-known Wholiflale Drug and General Business now and for many yeara successfully conducted by Messrs. Kempthorne Prosssr and Co. at Dunedio. Chris tchureh, and Auckland, and at Wellington, under the style of " Felton, Grrimwade and Co." A preliminary Agreement has been entered into between the firm and the Provincial Directors, residing in Dunedin, for the sale and purchase of the freehold and leasehold lands aud buildings belonging to the firm, and now med for the purpose of the business, at a price or value to be acert;ii"ed by the valuators, Messrs. Wales and Brown. It has been arranged that the new Company shall take over the plant, machinery, fixtnres,

and enfc're stock-in-trade at the actual cost to tbe firm, find all other the assets and liabilities of the firm. Orders in course of execution, and goods to arrive, are to be taken over at actual enst. Tbe Company will also obtain the benefit of all the PATENT AND PROPBIETABY AHTICLE.s on the same terms upon which fcbeue are now held, or manufactured by tbe firm, and also of all existing contracts and current business agreementF, which the Company will undeiUko and complete. The firm agrees to ta'<e shares to the value of £50,000 fully paid-ap ( unlusive of 3750 shares allowed for the goodwill of the busiuass). The Punedin and Branch Houses are in full and complete working order, with good etocls, and all necta-ary appliances for carrying on an extensive trade. Messrs T. W. Kempthorne and Evan Prober have consented to continue the mahage•menfc under the proposed new Company. The Wellington and Auckland branches are conducted by Messrs T. A nee 11 and J. W. Henton, who have been for many years in the service of the firm, and who are thoroughly competent and experienced men of bueines-. The branches were established with a view to secu-e the local and general business of tbe firm's ordinary customers, and especially of the Chemists and Druggists throughout the colony—objects which have been satisfactorily attained. The F.ictnry at Dunedin is managed by a duly qualified Manufacturing Chemisi of expensive European and Colonial experience. The Steam Plant, which is well worthy of inspection, is of the very best class, with the mo3t approved miils, and all modern appliances for the manufacture of chemical and pharmaceutical preparation?.
