The Proprietors have expended in machinery, labor, &c, about £SOOO, and now find it necessary to make a further expenditure for providing pumps and pumping gear, it being impossible to get out the payable quartz without. _ The Proprietors, not being in a position to advance the sum required, have proposed to assign their interest in the Eeef, Machinery, &c, to the Compauy for the sum of £4500, which will be paid to them by 900 Shares in the Capital Stock of the Company, fully paid up. The fact of the Proprietors receiving payment in paid- up Share in the Capital Stock of the Company, without any cash payments, is certainly strong evidence of their faith in the undertaking, and proof of lona fides. Applications for the remaining 1100 Shares, terms in of this Prospectus, may be made to any of the Provisional Directors, at the Offices of the Company, or to any of the Brokers. Allottees of Shares will be required to pay the deposit of 10s. on application, and the sum of £1 on allotment prior to such allottees having any of the rights of shareholders.

Gentlemen, —I request you will allot me Shares in the above Company, for which I enclose (in terms of the £ being the deposit of 10s per share on shares; and I hereby agree to pay £1 per share on allotment of the above number of Shares or any less number that may be allotted me, as well as all subsequent calls ; and I also agree to act in conformity with the Rules of the Company when lawfully made, and I further agree, if I shall not pay the first call of £1 on allotment, in terms of the Prospectus, or any cull that may be subsequently made, that my shares shall be forfeited and the Directors shall be at liberty to re-allot them, or dispose of them as they please.
