THE association lias been formed for tho purpose of acquiring the old established and successful General Business of Messrs M. Caselberg k Co., at Masterlon and Groytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinni, in the Wairarapa District, and Lereafter to carry on a general business upon the co-operativo principle under which shareholders and customers of the Association will share in the profits, according to methods to ho determined from timo to timo by tho Directors, and for tho other purposes mentioned in the Memorandum of Association, a cop; of which is endorsed on this prospectus, An association of this nature requires, in the .chief centres, commodious business premises rcpletewith facilities for economically and expeditiously carrying on tho disi tributing trade. Experienced managers with a thorough knowledge of local requirements arc indis. pensible for the efficient conduct of the business, and for keeping jjood saleable clean stocks. It is necessary to know in what markets at what seasons, and in what quantities to buy theivrequirements. It is of even greater importance to know how, where, and when to esportor otherwise dispose of the produce to the best advantage, But tho real difficult ties of all such institutions is the beginning; for they must hare capital at command, and have such financial arrangements, not only in tho Colony, but in the various markets of tho world,' as will inspiie the utmost confidence to enable it to build up a first-class credit and good name, and thus transact business on rock bottom limits. The profits of the Association after payment of expenses will belong to, and be distributed amongst tho shareholders. It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of the prolits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to carry part to a Besorvo Fund fortius equalisation of dividends, and for the distinct object of starting or investing in such local industries in tho district, as will prove conducive to the welfare of the shareholders, employ labour, and promote the wealth and population of the district. The Association will wherever sufficient inducement is offered by settlers and others, and subject to the consent of the shareholders, endeavour to ally itself, o amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlargo its sphere of usefulness. This is far from being a speculative, concern, The businesses of the vendors have bees carried on successfully for the last twenty-five years; and tho promoters have such confideuco in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than 6 per cent for the next fivo years, It should be plainly understood that the promoters do not desiro now, nor in the future, to take out their capital, but to carry on tho business on thenewlines with Mr Caselberg at the head of affairs, ossisted by all tho present staff, many of whom have been known to yon for tho last fifteen years, Disinterested experts will be employed to certify that stocks have been taken at abso lute cost, and all bad or old stock has been reduced to the market value or taken away altogether. Applications for shares should be made upon the accompanying form, and forwarded lo the Dsnkcrs o' the Association, together with the amount payable on application. If 110 allotment is madn the deposit will be returned without deduction, and where the number of shares allotted is less than the number applied for, surplus will be credited in reduction of the amount payable on allotment.
