THE BAM OF AUSTRALASIA. Secretary: D. McINTOSH, A.R. BUNNY, Esq., Mnsterton. HeadOlce: MASTERTUN. Branches: GEEXTOWNaNDTINUI. TEE association has been formed for tho purpose o! acquiring the old established and successful General Business of Messrs M. Caselberg & Co.. at Mastcrton and Ureytown, and Messrs Joseph Nathan k Co.'s Retail Business at Tinui, in tho Woirarapa District, and hereafter to carry on a general business upon tho co-oporativo principle under which shareholders and customers of tho Association will share in the profits, according to methods to bo determined from timo to time by the Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospectus. An association of this nature requires, in the chief centres, commodious business premises repletewith facilities for economically and expeditiously carrying on tho disi tributing trade. Experienced managers with a thorough knowledge of local requirements are indis„ pensilile for the efficient conduct of the business, and for keeping good saloablo

It is necessary to know in what markets at what seasons, and in what quantities to buy their requirements. It is ol oven greater importance to know how, where, and when to exportor otherwise dispose of the produce to the best advantage, But the real difficulties o! all such institutions is the beginning ; for they must have capital at command, and liavo such financial arrangements, not only in tbo Colony, but in the vanoiis markets of the world, as will inspire the utmost oonfidenco to enable it to build up a first-class credit nnd good name, and thus transact business on rook bottom limits.

The profits of the Association utter payment of expenses will belong to, and. be distributed amongst the shareholders, It is at present proposed after paymeut to shareholders of a dividend of 7per cent upon amount of paid up capital to divide part of the balance of the profits amongst tb.6 shareholders, according to the amount o! business done by each, and a bonus to employees, and to carry part to a Reserve. Fund for the equalisation of dividends,; and for tho distinct object of starting or investing in such local industries in the district, as will prove conducive to the welfare of tho shareholders, employ labour, and promote the wealth 'andpopulation of thu district. The Association will wherever Buflicientinduceincnt is offered by seltlerß and others, and aubjcot to the consent of the shareholders, endeavour to' ally itself, o amalgamate, with similar institutions, and thuß by Bharing the cost of management and conduot of business, reduce expenses and enlarge its sphere of usefulness, This is far from being a speculative concern, The businesses ofthe vendors have been carried on successfully for tho last twenty-five years; and the promoters have such confidence in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee' a dividend of not less than 6 per cent for the nest five years, It should bo plainly understood that tho promoters do not desire now, nor in the future, to take out their capital, but.to carry on the business oh tho new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom have been known to you for the last fifteen years, Disinterested experts will be employed to certify that stooks have been taken at al6o lnte cost, and all bad or old stuck has been reduced to the market valuo or taken away altogether, Book debts taken over are guaranteed against loss by the vendors. The following contracts have been made, namely:— ' 1, A contract between Messrs M Ousel -

berg & Co,, ami tho Association. 2. A' contract between ■ Mesais Nathan & Co,, and the Association Applications for shores should he rnado upon tho accoin|)anjin|/ r '.'rm, and forwarded to the lifnkeis o the Association, together with the amount payable on application, If no allotment is made the deposit will be returned without deduction, and where the number of shares allotted is less than the number applied for, surplus will be creuited in reduction of the omount payable on allotment, A lorni ot Amplication for Shares is annexed, and a copy ol the memoraud m of AsiOcLti.in will be found endorsed on thiupiospectus.
