THE association has been _ formed for tha purpose of acquiring the old established and successful General Business of Messrs M. Caselberg & Co., at Mastcrton and Greytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in tho Wairarapa District, and hereafter to carry on a general business upon tho co-operative principle under which shareholders and customers oi the Association will share in the profits, according to methods to bo dstermined from time to timo by tha Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospectus, An association of this nature requires, in tho chief centres, ■ commodious business premises ropletowith facilities for economically and expeditiously carrying on tho dis-. tributingtrado. Experienced managers with a thorough knowledge of local requirements are indis, pensiblo for the efficient conduct of the business, and for keeping good saleable clean stocks, It is necessary to know in what markets at what seasons, and in what quantities to buy thcirrequirements. It is of even greater importance to know how, where, and when to export or otherwise dispose of the produce to the boat advantage But tho icnl difficuN ties of all such institutions is the beginning ; for they must have capital at command, and have such financial arrangements, not only in the Colony, but in the various markets of the world, as will inspire tho utmost confidence to enable it to build up a first-olass credit and good name, and thus transact business on rook bottom limits,
Tho profits of the Association after payment of expenses will belong to, and be distributed amongst the shareholders. It is at present proposed after paymeut to shareholder of a dividend of 1 per cent upon amount of paid up capital to divide part of Ihe balance of the profits amongst the shareholders, according to tho amount of business done by each, and a bonus tu employees, and to carry part to a lieserve Fuud lor tho equalisation of dividends, and for the distinct object of starting or investing in such local industries in the district, as will prove conducive to the welfare of tho shareholders, employ labour, and promote the wealth and fopulation of tho district, Tho Association will wherever Bufficientinduccment is offered by settlers and others, and subject to the consent of the shareholders, endeavour to ally itself, o amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness, This is far irom being a speculative concern. The businesses of tho vendors havo been carried on successfully for the last twenty-hve years; and the promoters havo such confidence in the future of tho Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less ' than 6 per cent for the next five years, It should be plainly understood that the promoters do not desire now, nor in the future, to take out their capital, but to cany on tho business on the new lines with Mr Caselberg at the head of affairs, assisted by all the present stßff, many of whom have been known to you for the last fifteen years. Disinterested experts will bo employed to certify that stocks have been taken at abso lute cost, and all bad or old stock has been reduced to the market value or taken away altogether, Book debts taken over are guaranteed against loss by the vendors. Applications for shares should he made upon the accompanying form, and forwarded to the Bankers o' the Association, together with the amount payable on application.
