THE association lus been formed lot the purpose ot acquiring the old established anil successful General Business of Messrs M, Cnselberg & Co., at Mastcrton and Greytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in the Wairarapa District, and hereolttr to carry on a general business upon the co-operative principle under which shareholders and customers of the Association will share in the profits, according to methods to he determined from time to time by the Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospectus, An association of this nature requires, in the chief centres, commodious business premises repletowith facilities for economically and expeditiously carrying on tho dis-, tributing trade, Esperienccd managers with a thorough knowledge of local requirements are indis. pensible for the efficient conduct of tie business, and for keeping good saleable clean stocks. It is necessary to know in what markets at what seasons, and in what quantities to buy their requirements. It is of even greater importance to know how, where, and when to exporter otherwise dispose of the produce to the best advantage, But the real difficult ties of all such institutions is tho beginning ; for they must have capital at command, and have such fioanci&l arrangements, not only in the Colony, but in the various markets of tho 'world, as will inspire the utmost confidence to enable it to build up a first-class credit and good name, and thus transact business on rook bottom limits,

Tho profits of the Association after payment of expenses will belong to, and be distributed amongst tho shareholders. It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of the profits amongst th 6 shareholders, according to the amount of business dono by each, and a bonus to employees, and to carry part to a lieserve Fund for the equalisation o! dividends, and for the distinct object of starting or investing in such local industries in the district, as will prove conducive to tho welfare, of the shareholders, employ labour, and promote tho wealth and population of the district, The Association will wherever aufficicntinducement is offered by settlers and others, and subjcot to the consent of the shareholders, endeavour to ally itself,, o amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness. This is far from being a speculative concern, Tho businesses of the vendors have been carried on successfully for tho last twenty-five years j and the promoters have such confidence in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than 0 per cent for the next five years, It should be plainly understood that tho promoters do not desiro now, nor in the future, to take out their capital, but to carry on the business on the now lines with Mr Caselberg at the head of affairs, assisted by all tho present staff, many of whom have been known to you for the last fifteen years, Disinterested experts will be employed to certify that stocks have been taken at abso lute cost, and all bad or old stock has been reduced to the market value or taken away altogether, Book debts taken over aro guaranteed against loss by tho vendors. The following contracts have been made, namely:— 1, A contract botween Messrs M Caselberg & Co,, and the Association, 2. A contract between hjssis Joseph .
