THE association lws been formed for the purpose of acquiring tho old established and successful General Business of Messrs M. Caselberg 4; Co,, at Hastertoi) and Greytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in the Wairarapa District, and hereafter to carry on a general business upon the co-operativo : principle under which shareholders and customers of the Association will share in the profits, according to methods to bo determined from timo to time by tho Directors, and for the other purposes mentioned in the Memorandum of Association, a copy ot which is endorsed on this prospectus.
An association of this nature requires, in the chief centres, commodioiu business premises rcplctcwilh facilities for economically and expeditiously carrying on the dig-> tribuling trade. Experienced managers with a thorough knowledge of local requirements are indispensible for the efficient conduct of the business, and for keeping good saleablo clean stocks, It is necessary to know in what markets at what seasons, and in what quantities to buy theirrequirements. It is of even greater importance to know how, where, and when to exportor otherwise dispose of the produce to the best advantage, But the teal difficult ties of all such institutions is the beginning ; for they must havo capital at command, and have such financial arrangements, not only in the Colony, but in the vorioas markets of tlie world, as will inspire the utmost conliilcnco to enable it to build up a first-class credit and good name, and thus transact business on rook bottom limits, The profits of the Association after payment oi expenses will belong to, and be distributed amongst the shareholders, It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of the profits amongst th 6 shareholders, according to the amount of business dooc by each, and a bonus to employees, and to carry part to a Reserve Fund for the equalisation ot dividends, and for the distinct object of starting or investing in such local industries in the district, as will prove conducive to the welfare of tho shareholders, employ labour, and promote the wealth and population of the district, Tho Association will wherever sufficient inducement is offered by settlers and others, and subject to the consent of the shareholders, endeavour to ally itself, o amalgamate, with similar institutions, and thus by sh.tring the cost of management and business, reduce expenses and enlarge its sphere o( usefulness. This is far from bcinn a speculative concern, 'the businesses of tho vendors havo been carried on successfully for tho last twenty-five years; and the promoters havo Buch conlideucc in the future of tho Association that they ore prepared, so long as Mr Coselberg is allowed a controlling voice in the management of tho concern as heretofore, to guarantee a dividend of not less than C per cent for the next five years, It should be plainly understood that the promoters do not desire now, nor in the future, to take out their capital, but to cany on the business on the new lines with Mr Casclberg at the head of affairs, assisted by all the present staff, many of whom have been known to you for tho last fifteen years, Disinterested experts will be employed to certify that stocks have been taken at abso lute cost, and all bad or old stock has been reduced to the market valuo or token away altogether. Book debts taken over are guaranteed against loss by the vendors. The following contracts have been made, namely 1, i. contract between Messrs M Casel - berg & Co,, ond the Association, 2. A contract between taessis Joseph Nathan it Co., and tho Association
Applications for shares should bo made upon tlio accompanying form, and forwarded to the Elites o' the Association, together with the amount payable on application. If 110 allotment is mado the deposit will he returned without deduction, and where the number of shares allotted is less than the number applied for, surplus will be credited in reduction of the amount payable on allotment, A form of Application for Shares is annexed, and a copy ot the memorandum ot Association will be found endorsed on tJiis prospectus, A copyofthc Articles of Association, and of tlio contracts above mentioned may be inspected at the office of the Association's Solicitors Dated this day of 1802.
