THE association has been formed (or the purpose of acquiring the old established and successful General Business of Messrs M. Oaselberg & Co., at Masterton and Groytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in the Wairarapa District, and hereafter to carry on a general business upon the co-operutivo principio under which shareholders and customers of the Association will share in the profits, according to methods to be determined from time to time by the Directors, and for tho other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospcotus, An association of this nature requires, in the chief centres, commodious business premises repletewith facilities for economically and expeditiously carrying on tho diss tributing trade, Experienced managers with a thorough knowledge of local requirements are indis. ponsible for the ellioent conduct of the business, and for keeping good saleable dean stocks, It is necessary to know in what markets at what seasons, and in what quantities to buy thcirrequiremcnts. It is of evon greater importance to know how, where, and when to exportor otherwise dispose of the produce to the best advantage, But the real difficult ties of all such institutions is the beginning ; for they must have capital at command, and have such financial arrangements, not only in the Colony, but in the various markets of the world, as will inspire the utmost confidence to enable it to build up a first-class credit and good name, and thus transact business on rock bottom limits.
The profits of the Association after payment ol expenses will belong to, anil bo distributed amongst llw shareholders. It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of Iho balance of the prolits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to oarry part to n Deserve Fund torthe equalisation of dividends, and for the distinct object of starting or investing in such local industries in tho district, as will prove conducive to tho welfare of the shareholders, employ labour, and promote the wealth and population of the district, The Association will wherover sufficient inducement is offered by settles and others, and.subject to the consent of the shareholders, endeavour to ally itself, o amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness, This is far irom being a speculative concern. Tiio businesses of the vendors have been carried on successfully for the last twenty-live years; and the promoters have such confidence in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than 6 per cent for the next five years, It should be plainly understood that the promoters do not desire now, nor in the future, to take out their capital, but to cariy on the business on the new lines with Mr Caselberg at the head of affairs, assisted by all the present etaS, many of whom have been known to you for the last fifteen years. Disinterested experts will be employed to certify that stocks have been taken at abso lute cost, and all bad or old stock has been reduced to the market value or taken away altogether. Book debts taken over are guaranteed against loss by the venaors. The following contracts have been made, namely:1, a contract between Messrs M Caselberg# i'o„ and the Association. 2.
