IHE association has ken formed for ness of Messrs M, Cnselberg & Co., at Masterton and Greytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in the Wnirarapa District, and hereafter to carry on a general business upon the co-operativo principle undor which Bliareholders and customers of the Association -will share in the profits, according to methods to he determined from time to time by the Directors, and for tho other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on (his prospectus. An association of this natnro requires, in the chiof centres, commodious business premises repletewith facilities for economically and expeditiously carrying on tho dis-. tributing trade. Experienced managers with a thorough knowledge of local requirements are indis. peiuible for the efficient conduct of tho business, and for keeping good saleable clean stocks, It is necessary to know ia what markets lit what seasons, and in what quantities to buy theirrequirements. Itis of even greater importance to know how, where, and when to oxportor otherwise dispose of the produce to the best advantage. But tho real difficulties of all such institutions is the beginning ; for they must havo capital at command, and havo such fioancial arrangements, not only in the Colony, but in the various markets of the world, as will inspire the utmost confidence to enable it to build up a first-class credit and good name, and thus transact business on rock bottom limits. The profits of the Association after payment of expenses will belong to, and be distributed amongst tho shareholders, It is at present proposed after payment to Bhareholdera of a dividend of 7 per cent upon amount of paid tip capital to divide part of the balance of tho profits amongst the shareholders, according to the amount ofhusiness done by each, and a bonus to employees, and to carry part to a Besorve Fund for the equalisation of'dividends, and for the distinct object of starting or investing in such local industries in the district, as will prove conducive to the welfare of tho shareholders, employ labour, and promote the wealth and population of the district. The Association will wherever sufficient inducement is offered by settlers and others, and subject to tho consent of the shareholders, endeavour to ally itself, 0 amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness, This is far irom being a speculative concern, 'the businesses of the vendors have been carried on successfully for the last twenty-five years; and the promoters have such confidence in the future of the Association that they are prepared, so long as Mr Caselbcrg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than 6 per cent for the noxt five years, It should bo plainly understood that the promoters do not desiro now, nor in the future, to take out their capital, but to carry on the business on tho new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom have been known to you for the last fifteen years. Disinterested experts will be employed to certify that stocks have been taken at abso lute cost, and all bad or old stock has been reduced to the market value or taken away altogether, Book debts taken over aro guaranteed against loss by the vendors, The following contracts have been made, namely:1, A contract between Messra M Caso - berg & Co,, and the Association, 2.
