The profits of the Association after payment ol expenses will belong to, and be distributed amongst the shareholders, It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of tho profits amongst the shareholders, according to the amount of business done by each, and a bonus to c employccß, and lo carry part to a Reserve 9 Fund for the equalisation of dividends, and n for .the distinct object of starting dr invest- - ing in such local industries in the district, ' as will provo conduoivo to the welfaro of tho shareholders, employ labour, and promote the wealth and population of tho district, The Association will wherever sufficient inducement is offered by settlors and others, and subject to the consent of the shareholders, endeavour to ally itself, o amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness, This ii far from being a speculative concorn, 'lhe businesses of the voudorß have licen carried on successfully fur the last twenty-live years; and tho promoters havo such confidence in tho future of the Association that they aro prepared, so long as Mr Caselberg is allowed a controlling voice in tho management of tho concern as hereto, fore, to guarantee a dividend of not less than G per cent for the next five years, Jt should be plainly understood that the promoters do not desire now, nor in the ' future, to take out their capital, but to cany on the business on the new lines with Mr Caselberg at the head of affairs, assisted j by all the present staff, mony of whom novo been known to you for tho last fifteen years, Disinterested experts will bo employed to f certify that stocks have been taken at nuso lute cost, and all bad or old stock has been reduced to the murket value or taken away t ultogcther, Book debts takeu over aro guaranteed against loss by the vendors, The following contracts have been mode, namely:— 1, A contract between Messrs M Caso - berg it Co,, and the Association. r 2, A contract between Mtssis Joseph Nathan iS; Co,, and the Association for shares should be made " upon the accompanying f orm, aud forwarded to the ilmkeis o the Association, together with the amount payable on appiication, If no allotment is madn the deposit will bo returned without deduc- , tion, and where the number of shares allotted iB less than the number applied for, surplus will be credited in reduction of the amount payable on allotment, A form of Application for Shares is annexed, and a copy ot the memorandum of Association will bo found endorsed on is p.ospeotus.
