PKOSPECTUS. • THE association has been formed ior tho purpose ot acquiring tho old established and successful General Business of Messrs M. Caselberg & Co., nt Mastcrton and Greytown, and Messrs Joseph Nathan k Co.'s Retail Business at Tinui, in the Wairarapa District, and hereafter to carry on a general business upon the co-operative principle under which shareholders ajd customers of the Association will share in the profits, according to methods to bo determined from time to time by the Directors, and for the other pnrposcs mentioned in the Momorandum of Association, a copy of which is endorsed on this prospectus, An association of this nature requires, in tho chiof centres, commodious business premises ropletowith facilities for economically and expeditiously carrying on tho distributing trade. Experienced managers with a thorough knowledge of local requirements are indis. pensiblo for the eflioient conduct of the business, and for keeping good salcablo clean stocks. It is necessary to know in what markets at what seasons, and in what quantities to buy theirrcqnirements. It is of oven greater importance to know how, where, and when to exporlor otherwise dispose of tho produce to the best advantage, But the real difficult ties of all such institutions is tho beginning ; for they must havo capital at command, and have such financial arrange, mcnts, not only in the Colony, but in the vanoas markets of tho world, as will mspiio the utmost conlidcnco to enable it to build up a first-class credit and good name, and thus transact business on rook bottom limits. The profits of the Assooiation after pay. mentol expanses will belong to, and be distributed amongst the shareholders. It ij at present proposed after payment to shareholders of a dividend of 7 per cout upon amount of paid up capital to divide part of (lie balance of tho piolits amongst the shareholders, according to the amount of business dono by each, and a bonus to employees, and to carry part to a Beserve Fund for tho equalisation of dividends, and for the distinct object of starting or invest' ing in such local industries in the district, as will prove conducive to tho welfare of the shareholders, employ labour, and promote llio wealth and population of the district, Tho Assooiation will whorover sufficient inducement is offered by settlers and others, and subject to tho consent qf the shareholders, endeavour to ally itself, o amalgamate, with similar institutions, and thus by sharing tUo cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness, This is far from being a speculative con' cern. The businesses of the vendors havo been carried on successfully for the last tffont7-iive years; and the promoters havo such confidence in tho future of tho Assooiation that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than 0 per cent for the next fivo years, It should be plainly understood that tho promoters do not desire now, nor in the future, to tako out their capital, but to cany on the business on the new lines with Mr Caselberg at the head of affairs, assisted by all the presont staff, many of whom have been known to you for the last fifteen iars.
