WITH POWER TO ADD TO THEIR' NUMBER. Bankers 1 THE BANK OF AUSTRALASIA. Secretary: DiMoINTOSH. Solicitor: A, It, BUN.NY, Esq., Mastorton. Head Office: mastektun.. Branches: GEEXTOWN aND TINUI. PKOSrECTUS, r pHE association has been formed for L the purpose of acquiring tlio old established and sucocs»ful General Business of Messrs M. Caselberg & Co., at Masterton and Groytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in the VVairarapa Distriot, iind hereafter to carry on a general business upon the co-operativo principle under which shareholders and customers of the AssociV tion will share in tho profits, according to methods to be determined from timo to time by the Directors, and for tho other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this pcospcctus. An association of this nature requires, in the chief centres, oommodious business premises replotewith facilities for economically and expeditiously carrying on the distributing trade. Experienced managers with a thorough knowledge of local requirements are indispensible for the efficient conduct of the business, and for keeping good saleable clean stocks. It is necessary to know in what markets at what seasons, and in what quantities to [ray their requirements. It is of even greater importance to know how, where, and when to exportor otherwise dispose of tho produce to the beat advantage, But the real difficulties of all such institutions is the. beginning! for they must have capital at command, and have euch financial arrangements, not only in tho Colony, but in the various markets of the world, as will mspuc the utmost confidence to enable it to build up a first-oiass oreditand good namo, and thus transact business on rook bottom limits. • Tho profits of tho Association after payment ot expenses will belong to, and be distributed amongst tho shareholders. It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of the profits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to carry part to a Reserve Fund lor the equalisation of dividends, and for the distinct object of starting or investing in such local industries in the district, as will prove oonduoive to the welfare of the shareholders, employ labour, and. promote the wealth aud population of tho district, The Association will wherever sufficient inducement is offered by settlers and others, and subject to tho consent ol tho shareholder, endeavour to ally itself, 0 amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness. This is far irom being a speculative concern, The businesses of the vendors have been carried on successfully for tho last twenty-five years | and the promoters have such confidence in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore; to guarantee a dividend of not less than 0 per cent for tho next five years,. It should be plainly understood that the promotersdo not desiro now, nor in tho future, to tako out their oapitaV but to car.y on tho business on tho now lines with Mr Caselberg at the head of affairs, assisted by all the present stall, many of whom imvo been known to you for tho last fifteen years. Disinterested experts will bo employed to certify that stocks have been taken at auo lute cost, and all bad or old stock has been reduced to the market value or taken away altogether, >; • Book debts taken over are guaranteed against loss by the vendors. The following contracts have been made, namely 1, a contract between Messrs M Case - berg & Co., and the Association. 2. A contract between taesais Joseph Nathan & Co,, and the Association Applications for shares should be made upon the accompanying firm,-' and forwarded to the Bcnkeis »' the Association, together with the amount payable on application, If no allotment is made the deposit will be returned without deduction, and where the number 0f... shares allotted is less than the number applied for, surplus will be croaited in roduotiou of -the amount payable on allotment, A form ot Application for Shares is annoxed, and a copy ot the memorandum of Association will bo found endorsed on hisprospeotus,. A oopy. of the Articles of Association, and ot the contraots above mentioned may be inspected at tho office of the Association Solicitors Datcdth.'s"' dayof 1892.
