IIHE association has been [ormed for . the purpose of acquiring the old established and successful General BusiJOSS of Messrs M. Caselberg & Co., at Masterton and Greytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in the Wairarapa District, and hereafter to carry on a general business upon tho co-operative principle under which shareholders and customers of the Association will share in the profits, according to methods to be dsterniined from time to time, by tho Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospeotus, An association of this nature requires, in the chief centres, commodious business premises repletewith facilities for economically and expeditiously carrying on tho distributing trade, Experienced managers with a thorough knowledge of local requirements are indis.. pensible for the efficient conduct of tbe business, and for keeping good saleable clean stocks, lUs necessary to know in what markets at what Seasons, and in what quantities to buy theirrequirementß.'ltis of even greater importance to know how, where, anu whan to expoitor otherwise dispose of the produoe to the best advantage, But the real difficulty of all suoh institutions is the beginning; for they must have capital at command, and have such financial arrangements, not only in the Colony, but in tbe various markets of the world, as will inspire the utmost confidence to enable it to build up a first-olass credit and good name, and thus transact business on rook bottom limits, The profits of the Association after payment ot expenses will belong to, and be distributed amongst the shareholders, It is at present proposed after payment to shareholders of a dividend of 7 per oent upon amount of paid up capital to divide part of ihe balance of the profits amongst the sharehnlllovn <iiu>nnlin,i ,n tl,„ „.„„„„! of business doue by each, and a bonus to employees, and to cany part to' a' Eeserve l'und for the equalisation of dividends, and for the distinct object of starting or investing in such local industries in tho district, as will prove conducive to the welfare of the shareholders, employ labour, and promote the wealth and population of tbe district, The Association will wherever sufficient inducement is offered by settlers and others, and subject to the consent of the shareholders, endeavour to ally itself, o amalgamate, with Bimilar institutions, and thus by sharing the cOBt of management and conduct of business, reduce expenses and enlarge its sphere of usefulness, Thiß is far from being a speculative concern, 'the businesses of the vendors have been carried on successfully for the last twenty-fivo years; and the promoters have such confidence in the future of tho Association that they are prepared, so long as Mr Caselberg is. allowed a controlling voice in the management of the conoern as heretofore, to guarantee a dividend of not less than 0 per cent for the next five years, it should bo plainly understood that tho promotora do not desire now, nor in tho future, to take out their' capital, but to oar.y on the business on tho new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom liave been known to you for tho last fifteen j years, ' Disinterested oxperts will be employed to certify that stocks have been taken at auso lute cost, and all bad or old stook has been reduced to the market value or taken away Book debts taken over are guaranteed against losb by the vendors. Tho following contracts have been made, mely;— 1, A contract between Messrs M Caaal- ■ berg & Co,, and tho Association, 2, A contract between toessis Joseph Nathan&Co., and the Association Applications for Bharcs should be made upon the accompanying form, and forwarded to the Bsnkers of tho Association, together with the amount payable on application. If no allotment is madn the deposit will be returned without .deduction, and where the number of shares allotted is less than the number applied, for, surplus will be credited in reduction of the. amount payable on allotment.
