Caselberg & Co., at Masterton and Greytown, and Iters Joseph Nathan fcCo.'s Retail Bnaincas at Tinui, in the Waiiarapa District, and hereafter to carry on a general business upon the co-operative principle under which shareholders andoustomers of the Association will share in the profits, according to methods to be dstermined from time to time by the Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospectus, An association of this nature requires, in the chief centres, commodious business premises repletcwith facilitios for economically and expeditiously carrying on the distributing trade. Experienced managers with a thorough knowledge of local requirements are Mispensible for the eflioient conduct of the business, and for keeping flood saleable clean stocks, It is necessary to know in what markets at what seasons, and in what quantities to buy their requirements, It is of even greater importance to know how, where, and whon to exportor otherwise dispose of the produce to the best advantage, But the real difficulties of all suoh institutions is the beginning ; for they must have capital at command, and bavo such financial arrangements, not only in the Colony, but in the various markets of the world, as will inspire the utmost confidence to enable it to build up a first-class credit and-good name, and thus transact business on rook bottom limits. ■ The profits of the Association after payment of expenses will belong to, and be distributed amongst the shareholders,. It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up oapital to divide part of tho balance of the profits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to carry part to a Reserve Fund lor the equalisation of dividends, and for the distinct object of starting or investing in such local industries in the district, as will prove oonducive to the welfare, of tho shareholders, employ labour,' and promote the wealth aud population of lb district, The Association will wherever sufficient inducement is offered by settlors and others, and subject to the consent of the shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness, This is far from being a speculative concern, The businesses of the vendors have been carried on successfully for the last twenty-five years; and the promoters have such confidence in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than C per cent for the next five years, It should be plainly understood that the promoters do not desire now, nor in the future, to take out their capital, but to papy on the business on thenewlines with Mr Caselberg at thoheod of ajlairs, assisted by all the present Staff, rijapy of whom bave been known to you for the last fifteen years, Disinterested exports will be employed to certify that stocks have been taken at abso lute cost, and all bad or old Btook has been reduced to tho market value or taken away altogether, y Book debts taken over are guaranteed against loss by the vendors, The following contracts have been made, namely:1, a contract between Messrs M Caselberg & Co,, and tho Association. 2, A contraotbetween Messis Joseph Nathan & Co., and the Assoo iation Applications for shares should be mado upon the accomponying form, and forwarded to the Bankers of tho Association, together with the amount payable on application, If no allotment is made the deposit will bp returned without deduotjgn, and whero the number of shares allotted js less than the number applied for,' surplus willbe credited jn reduction of the amount payable oh allotment, A form of Application for Shares is annexed, and a copy ot the memorandum of Association will be found , endorsed on his prospcotiiß.
