THE association has been formed for tho purpose of acquiring the old established and successful General Business of Messrs M. Caselberg & Co., at Mastorton and Greytown, and Messrs Joseph Nathan & Co.'e Retail Business at Tinui, in the Wairarapa Diatriot, andherenfterjto carry on a general business upon tho co-operative principle under which shareholders ond customers of the Association will share in the profits, according to methods to be determined from time to time by the Directors, and for the other purposes mentioned in the Memorandum lit Association, a copy of which is endorsed on thia prospectus. An association of this nature requires, in the ohief centres, commodious business premises repletewith facilities for economically and expeditiously carrying on the dia-. tributing trade. Experienced managetß with a thorough knowledge of looal requirements are indis. pensible for the efficient conduct ol the business, and for keeping good saleable dean stocks. It is necessary to know in what markets at what seasons, and in what quantities to buy their requirements. It is of even greater importance to know how, where, and when to export or otherwise dispose of the produce to the best advantage, But the real difficulties of all such institutions is the beginning | for they must have capital at command, and have such financial arrangements, not only in tho Colony, but in the various markets of the world, as mil inspire the utmost confidence to enoble it to build up a first-class credit and good name, and thus transact business on rook bottom limits. Tho profits of the Association after payment oi expenses will belong, to, and be distributed amongst the shareholders. It is at present proposed aftor payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of the profits amongst tho shareholders, according to the amount of business done by eacli, and a bonuß to employees, and to carry part to a Kcserve Fund for the equalisation of dividends, and for tho distinct object of starting or investing in such local industries in the district, as will prove conducive to the welfare of the shareholders, employ labour, and promote the wealth aud population of the district. The Association will wherever sufficientindnoement is offered by eettlerß and others, and subject to tho oonsent of tho shareholder!, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of businoss, reducß expenses and enlarge its sphere of usefulness, This is far from being a speculative ooncern, The businesses of tho vendors have been carried, on successfully for the laßt twenty-five years; and the promoters have such confidence in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guaranteo a dividend of not less than 6 per cent for the nest five years, It should be plainly understood that the promoters do not desire now, nor in tho future, to take out their capital, but to eariy op the business on tho now lines with Mr Caselberg attlieheod of affairs, assisted by all tho present Btafi, many of ffhom have been known to you for the last fifteen years, Disinterested experts will be employed to certify that stocks have been taken at abso luto cost, and all bad or old stook has been reduced to the market value or taken away altogether.
