PROSPECTUS, THE association lias been formed for the purpose ol acquiring the old established and successful General Bnsiiicss of Messrs iM. Casclbcrg k Co,, at Mastcrton and Greytown, and Messrs Joseph Nathan & Co.'a Retail Business at Timii, in the Wairarapa District, mid hcreaftcrjto cany on a general business upon the co-operative principle under which shareholders and customers of the Association will share in the profits, according to methods to bo determined from time to time by the Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which i 3 endorsed on this prospectus, An association of this nature requires, in the chief centres, commodious business premises repletewith facilities for economically and expeditiously carrying on the ilia-, tributing trade, Experienced managers with a thorough knowledge of local requirements are indis., pensible for the efficient conduct of the business, and for keeping good saleable clean stocks. | Jit is necessary to know in what markets, at what seasons, and in what quantities to buy theirrequirements. It is of even greater importance to know how,wli..e. and when to exportorotherwise dispose of the produce to the best advantage, But the real difficult lies of all such institutions is the beginning ; for they must have capital at command, and liave such liuancial arrangements, not only in the Colony, but in the varioas markets of the world, as will inspire the utmost conlidcnce to enable it to build up a first-c'ass credit and good name, and thus,transact business on rock bottom limits, The profits of the Association after payment of expenses will belong to, and bo distributed amongst the shareholders. It is at present proposed after payment to shareholders of a dividend'of 7 per cent upon amount of paid up capital to divide part of the balance of Die prolits amongst tli-3 shareholders, according to the amount of business done by each, and a bonus to employees, and to carry part to a Reserve l'mid for the equalisation of dividends, and for the distinct object of starting or investing in such local industries iu the district, as will prove conducive to the welfare of fhe shareholders, employ labour, and promote the wealth aud population of the district. The Association will wherever sufficient inducement is offered by settlers ami others, and subject to the consent of (he shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness; This is far from being a speculative concern, The businesses of the vendors have been carried 011 successfully for the last twenty-live years; and the promoters havo such confidence in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than 0 per cent for the next five years. It should be plainly understood that the promoters do not desire now, nor in the Mure, to take out their capital, but to cany on the business 011 the new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom have been known to you for the last fifteen years. Disinterested experts will bo employed to certify that stocks have been taken at absolute cost, and all bad or old stock hn3 been reduced to the market value or tilken away altogether, Book debts taken over aro guaranteed against loss by the vendors, : The following contracts have been mado, namely:— . 1, a contract between Messrs M.
