TEE association has been formed for the purpose ol acquiring tho old established and successful General Business of Messrs M, Caselbeig & Co., at Masterton and Groytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in the Wairarapa District, and hereafterjto carry on a general business upon the co-operativo principle under which ' shareholders and customers of the Association will share in the profits, according to methods to be determined from time to time by tho Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospectus, An association of this nature requires, in the chief centres, commodious business premises repletewilh facilities for economically and expeditiously carrying on the disi tributing trade. Experienced managers with a thorough knowledge of local requirements are intepcnsible for the cflicient conduct of the business, and for keeping good saleable clean stocks, | |lt is necessary to know in what markets, at what seasons, and in what quantities to buy thoir reqnirementa. It is of even greator importance to know how,whtie, and when to exportor otherwise dispose of the produce to the best advantage, But the real difficulties of all such institutions is the beginning; for they must have capital at command, and bave such financial arrange-, ments, not only in the Colony, but in the various markets of the world, as will inspiro the utmost confidence to enable it to build up a first-class credit and good name, and thus transact business on rook bottom limits, The profits of the Association after payment of expenses will belong to, and be distributed amongst the shareholders. It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of the profits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to carry part to a Eeserve Fund for the equalisation of dividends, and for the distinct object of starting or investing in such local industries in the district, as will prove conducive to the welfare of the shareholders, employ labour, and promote the wealth and population of the district. The Association will wherever Buflicientinducement is offered by settlers nnd others, and subject to tho consent of the shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing the cost of management and conduot of business, reduce expenses and enlarge its sphere of usefulness, This is far from being a speculative concern, The businesses of the vendors have been carried on successfully for the last twenty-five years; and tho promoters have such confidence in tho future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voico in the management of the concern as heretofore, to guarantco a dividend of not less than 0 per cent for the next five years, It should be plainly understood that the promoters do not desire now, nor in the future, to take out their capital, but to carry on tho business on the new lines with Mr Caselberg at the head of affairs, assisted by all tho present staff, many of whom have been known to you for the last fifteen years. Disinterested experts will bo employed to certify that stocks have been taken at absolute cost, and all bad or old stock hru been reduced to tho market value or taken away altogether. Book debts taken over are guaranteed against loss by the vendors. The following contracts havo been made, namely:— 1, A contract between Messrs M. Caselberg & Co,, and the Association, 2, A contract between llessis Joseph Nathan & Co., and the Association. Applications for shares should bo made upon the accompanying form, and forwarded to the Bankers of tho Association, together with tho amount payable on application. If no allotment is madu the deposit will be returned without deduction, and whero tho number of shares allotted i 3 less than the number applied for, surplus will be credited in reduction of tho amount payable on allotment. A form ot Application for Shares is annexed, and a copy of the memorandum of Association will ho found endorsed on this prospectus.
