THE association has been formed jfor tho purpose of, acquiring., tiie- old established and successful General Business of Messrs M, Caselberg & Co v at Masterton and 1 Groytown, 'ani" MeVs'r Joseph Nathan &Co.'s Retail Business-at Tinui, in the Wairarapa District, and hereafter to carry on a general business upon tho co-operative principle under which shareholders, and customers of the Association, will share in the profits, according to methods to be dstermincd "from time to time by the Directors, and for the other purples Mentioned in the Memorandum of Association, a copy of which is endorsed on tniswospectus. . Anlissociation of this nature requires, in the chief centres, commodious business premises replete with facilities for economically and expeditiously carrying on tho dis-^ tributing trndo. Experienced managers with a thorough knowledge of local requirements are indispensible for the effioient conduct of tho business, and for keeping good saleable clean stocks, It is necessary to know in what markets at what seasons, and in. what quantities to buy thcirrequirements. It is of even greater importance to know how, where, and when to exportor otherwiso dispose of the produce to the best advantage. But the real dillicuk tics of all such institutions is the beginning for they must have capital at command, and have such financial arrangements, not only in the Colony, but in the various markets of the world,' as will inspire the utmost confidence to enable it to build up a first-olass oredit and good name, and thus transact business on rook bottom limits,. ■ The profits of the Association nfter payment of expenses will belong to, and be distributed amongst the shareholders. It is at present proposed alter payment to shareholders of a dividend of 7 per cent upon amount of paid up . capital to divide part of Ihe balance of the profits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to oarry part to a Beservo Fund for the equalisation of dividends, and for tho distinct object of starting or investng in such local industries ia the district, as will prove conducive to the* welfare of the shareholders, employ labour, and pro-' mote the wealth and population of the district, The Association will wherever sufficient inducement is offered by settlers and others, and subject to the consent of the shareholders, endeavour to ally itself, or amalgamate, with similar institutions,'i and thus by sharing the cost of management and conduct of business, reduce expenses and onlarge its sphere of usefulness. • . , This is far from being a 'speculative concern. The businesses of the vendors have been earned ou successfully for the last twenty, five .yearh j and tiie promoters have such confidence in the future of the Association that they are prepared, so long sb Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than G per cent for the next five years. It should bo plainly understood that the promoters do not desire now, nor in tho future to take out their capital, but to carry on the business on the new lines with Mr Caselberg at the head of affairs, assisted by all the present stall, many of whom have been known to you for thß last fifteen years, Disinterested experts will be employed to certifj that stoolts have ken taken at absolute cost, and all bad or old* stock has been reduced to the market value or taken away altogether. Book debta taken over are guaranteed against loss by the vendors, The following contracts have been made, Damely 1. A contract between Messrs M. Caselberg & Co.; and the Assooiai tion. 2. A contract between Messrs Joseph Nathan & Co., and the Associa« tion, Applications for shares should be made upon the accompanying form, and forwarded to the Bankers of the Association, together with the amount payable on application, If no allotment is made the deposit will be returned without deduotioh, and where the number of sharjs allotted is less than the number applied for, surplus Will be in reduction pf .the amountpayable on al« lotueat, - - . Asßoc'piioi will be found, endorsed on this prospectus, ' " ' ' A. onpy of the Article's of Association of the Association, and of the contracts above mentioned may be inspected at the office of the Association's Solicitors, Dated this ' day of ' . 18S2. 1 (Sigtud) M, CASELBERG & CO, ■' (Signed) JOSEPH NATHAN & CO, •'"THE COMPANIES ACT,'IBB2."'
