McINTOSH, .{Solictors; MESSRS BELL, GULLY & IZARD, Panajia-St, Welunoton. PROSPECTUS. THE association has been formed for the ptirposo of acquiring the old established ami successful General Business of Messrs M. Caselberg & Co,, at Masterton and Oreytown, and Mess r Joseph Nathan & Co's Retail Business at Tinui, in the Wairarapa District, and hereafter to carry on a general business upon the co-operative principle under which shareholders, and customers of the Association, will share in the profits, according to methods to be determined from time to time by the Directors, and for the other purposes mentioned in the Memorandum of' Association, a copy of whioh is endorsed on tnis prospectus. An association of this nature requires, in the chief centres, commodious business premises replete with facilities for economically and expeditiously carrying on the dis>> tubulins trade. Experienced managers with a thorough knowledge of local requirements are indisponsible for the efficient conduct of the business, and for keeping good saleable clean stocks,

It is necessary to know in what markets at what seasons, and in what quantities to buy their requirements. It is of even greater importance to know how, where, and when to exportor otherwise dispose ot the produce to the beat advantage, But the real difflculx ties ot all suoh institutions is the beginning ; (or they must have capital at command, and have suoh Scandal arrangements, not only in the Colony, but in the various markets of the world, a3 will inspire the utmost confidence to enable it to build up a first-class credit and good name, and thus transact business on rock bottom limits, The profits of tho Association after payment of expenses will belong to, and be distributed amongst the shareholders. It is at present proposed after payment to shareholders of a dividend of 7 per cent npon amount of paid up capital to divide part of the balance of the prolits amongst the shareholders., according to the amount of business done by each, and a bonus to employees, and to carry part to a Reserve Fund for the equalisation of dividends, and for tho distinct object of starting or investng in suoh local industries in the district, as will prove conduoivo to the welfare of the shareholders, employ labour, and promote the wealth and population of the districf The Association will wherover suflicientinduoement is offered by settlers and others, and subject to the consent of tho shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing the oost of managetnent and oondnot of business, reduce expenses and enlarge its sphere of usefulness. This is far from being a speculative concern. The businesses of the vendors have been cairied on successfully for the last twenty.five years; and the promoters have such confidence in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than 6 per cent for the next five years. It should be plainly understood that .the promoters do not desire now, nor in the future to take out their capital, but to carry on the business on the new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom have been known to you for- the last fifteen years. Disinterested exports will be employed to certify that stocks have been taken at absolute cost, and all bad or old atook has been reduced to tho lparket value or taken away altogether. Book debts taken over are guaranteed against loss by the vendors. The following contracts have been made, namely 1, A contract between Messrs M. Caselberg <fe Co.j and the Asaocia-. tion, ' 2, A contract between Messrs Joseph Nathan & Co., and the Assopias tion, Applications for shares should be made uponthe accompanying form, andforwarded to the Bankers of tho Association, together with the amount payable on application, II 1)0 allotment is niado the deposit will be returned without Reduction, and where the number o{ sharos allotted is less than the number applied for, surplus will be oreditcd in reduction of the amount payable on' allotment.
