It is not anticipated that it will ( bo necessary to call up any further Capital beyond £1 per Sharo, but in no case will further calls be mado ox* ( ceeding 2a Od pei mouth, Directors: MYEB CASELBERG, Esq, LIONEL CASh'LBERG, Esq. DAVID JOSEPH NATHAN, Esq, LOUIS JOSEPH NATHAN, Esq. Willi pernor to aild to their number. THE BANK OF AUSTRALASIA, Secretary: D.McINTOSH, Solictors; MESSES BELL, GULLY & IZAED, Panasu-St, Wellington. rpHE association has been formed for L the purpose ol acquiring tho' old established and successful General Business of Messrs M. Caselberg & Co., at Masterton and Greytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in the Wairarapa District, and hereafter to carry on a general business upon the co-operative principle under which shareholders, and customers of the Association, will share in the profits, according to methods to bo determined from time to time by the Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on tnis prospectus. An association of this nature requires, in the chief centres, commodious business promises replete with facilities for economically and expeditiously carrying on the die-. tributing trade. Experienced managers with a thorough knowledge of local requirements are indis.. pensible for the efficient'conduct of the business, and for keeping fjood saleable oloan stocks, It is necessary to know in what markets at what seasons, and in what quantities to buy thoirrequirements. It is of even greater importance to know how, where, and when to exportor otherwise dispose of the produce to the best advantage. But the real difficuU ties of all such institutions is the begin- . ning; for they must have capital at command, and have such financial arrange* ments, not only in the Colony, but in the various markets of the world, as will inspire the utmost oonlidence to enable it to build up a first-olass credit and good name, and'thus transact business on rook bottom limits. The profits of the Association after payment of expenses will belong to, and bo distributed amongst the shareholders. It is at presont proposed after payment to shareholders of a dividend of 7pcr ecnt 1 upon amount of paid up capital to divide I partoflhe balance of the profits amongst '• the shareholders, according to tho amount of business done by each, and a bonus to employees, and to carry part to a Reserve Fund for the equalisation of dividends, and for the distinct object of starting or investng in suoh local industries in the district, ' as will prove conduoivo to the welfare of tho shareholders, employ labour, and pro- , mote the wealth and population of tho ■ district, The Association will wherever sufficient inducement is offered by settlers and others, and subject to the consent of tho shareholders, endeavour to ally itself, , or amalgamate, with similar institutions, and thus by sharing the oost of manage > ment and comluot of business, rediico . exponsos and enlarge its sphere of usefulness. I This is far from being a speculative concern, The businesses of tho vendors f have been cairied on successfully for the last twenty.five years; and tho promoters ' have such confidence in the futu'e of the i Association that they are prepared, so long •; as Mr Caselberg is allowed a controlling ■• voice in the management of the concern as s heretofore, to guarantee a dividend of not - less than 0 per cent for tho next five years, Jt should be plainly understood that the r promoters do not desire now, nor in tho future to take out their capital, but to ■ carry on the business on tho new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom have been known to you for the last fifteen years, - Disinterested experts will be employed to , certify that stocks have been taken at 9 absolute cost, and all bad or old stock hoa been reduced to the market value or taken away altogether, _ Book debts taken over are guaranteed • against loss by the vendors. The following contracts havo been made, b namely;— 1, A contract between Messrs M, Caselberg & Co., and the AflsooLv, j tion, 2, A contract between Messrs Joseph ' Nnthan&Co„and tho Assooiav ' tion, 1 Applications for Bliares should bo mado upohthe accompanying form, andforwardod to the Bankers of the Association,' together with the amount payablo on application, If no allotment is made the deposit will be returned without deduction, and where the number of shares allotted is less than tho number applied for, surplus will bo credited in reduction of the amount payable on nl» lotment, A form of Application for Shares is annexed, and a copy of tho memorandum of Association will bo found endorsed on this prospectus, A copy of the Articles of Association of the Association, and of the contracts above mentioned may be inspected at the offloo oi the Association's Solicitors, Dated this day of 1802.
