Caselberg & Co., at Mnsterton and Grevtown, and Messrs Joseph Nathan & Co 'a Retail Business at Tinui, in the Wairarapa District, and hereafter to carry on a general business upon (lie co-operative principle under which shareholders, ondcustomcrsof the Association, will shire in tho profits, according to methods to be determined from timo to time by the Directors, and for the other Association, a copy of which is endorsed on tnis prospectus. An association of this nature rapines, in the chief centres, commodious business premises replete with facilities for economically and expeditiously carrying on the dis> tributing trade. Experienced managers with a thorough knowledge of local requirements are indis. pensiblc for the efficient conduct of the business, and for keeping good saleable clean stocks. It is necessary to know in what markets, at what seasons, and in what quantities to buy theirrequirements. It is of even greater importance to know how, where, and when to exportor otherwise dispose of the produce to the best advantage, But the real difficult ties of all such institutions is the beginning; for they must have capital at command, and have such finanoial arrangements, not only in the Colony, but in the various markets of the world, as will inspire the utmost confidence to enable it to build up a first-olass oredit and good name, and thus transact business on rock bottom limits, , , Tho profits of the Association after payment of expenses will belong to, and be distributed amongßt the shareholders, It is at present proposed after payment to shareholders of-a dividend of 7 per cent npon amount of paid up capital to divide part of Iho balance of the profits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to carry part to _ a Reserve Fund for the equalisation of dividends, and for the distinct object of starting or investing in such local industries in the distriot as will prove conduoive to the welfare of the shareholders, employ labour, and promote the wealth and population of the district, The Association will wherever uufucient inducement is offered by settlers and others, and subject to the consent of the shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing tho cost of management and conduct of business, reduce oxpenses and enlarge its sphere of usefulThis is far from being a speculative concern, The businesses of the vendors have been earned on successfully for the last twenty-five years | and the promoters have such confidence in the future ot the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voico in the management of the concern as heretofore, to guarantee a dividend of not less than 0 per cent for the next five years, It should be plainly understood that the promoters do not desire now, nor in tho future to take out thoir capital, but to carry on the business on tho new lines with Mr Caselberg at the head of affairs, assisted by all tho present staff, many of whom have been known to you for the last fifteen years, Disinterested experts will be employed to certify that stocks have ken taken at absolute cost, and all bad or old stook has been reduced to the market value or taken away altogether, Book debts token over are guaranteed against loss by the vendors. The following contracts have been made, namely : 1. A oontraet between Messrs M, Caselberg & Co.j and tho Associa-. tion. 2. Acontraot between Messrs Joseph Nathan & Co., and the Assooiov tion.
