THE association has been formed for tli9 purpose o! acquiring the old established and sucoessful General Business of Messrs. M, Caselberg & 00.. at Masterton and Greytnwn, ..and Messrs Joseph Nathan & Co.'a Retail Business at Timii, in the Wairarapa District, and hereafter to carry on a General business upon the co-operative principle nnder which shareholders, andoustomersof the Association, will share in the profits, according to methods to be determined from time to time by the Directors, and for the other purposes mentioned in the Memorandum of Association, a cop; of which is endorsed on tnis prospeotus. An association of this nature requires, in the ohief centres, commodious business premises replete with facilities for economically and expeditiously carrying oa the dia> tributing trade. Experienced managers with a thorough pensible for the efficient conduct oi the business, and for keeping good saleable olean stocks, ... ' It is necessary to know in what markets, at what seasons, and in what quantities ta buy theirrequircments. It is of even greatei importance to know how.whoro,- and when to exportor otherwise dispose of the produce to the beat advantage, But the real difficult tits of all suoh institutions is the beginning; for they must have capital at command, and have such financial arrangements, not only in the Colony, but in the varioaa markets of the world, as will inspire the utmost confidence to enable it to build up a first-class oredit and good name, and thus transact business on rock bottom liroits.. .
The profits of the Association after payment of oxpenses will belong to, and be distributed amoaget tho shareholders. It is at present proposed after payment to shareholders of a dividend of 7 per cent part of the balanao of the profits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and (o carry part (o a Deserve Fund for the equalisation of dividends, and for the distinct object of starting or investing in guoh local industries in the district as will prove conduoive to tho welfaro of the shareholders, employ labour, and promote the wealth and population of the district, Tho Association will wherever sufticitmtmducement is offered by settlers and others, and subject to tho consent of tho shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing the cost of manage, ment and conduct of business, ; reduce expenses and enlarge its sphere of usefulness, •This,is fat 'from bains a speonlatiya concern.
