Caselberg & Co., at Masterton and Gtcytown, and Messrs Joseph Nathan ftCo.'s Retail Business at Tinui, in the Woirarapa District, and thereafter to oarry on a general business up on the co-operalivo principle under which shareholders, and oustomers of the Assooia : lion, will share in the profits, according to methods to be determined from lime to time by the Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospectus, An association of this nature requires, in (he chiof centres, commodious business premises replete with facilities for economically and expeditiously earryiug ou the dis> tributing trade, Experienced managers with a thorough knowledge of local requirements are hidispensible for the effioient conduct of the business, and for keeping good saleable dean stocks,

The profits of tlio Association lifter payment ol expenses will belong to, and be distributed amongst the shareholders, It is at present proposed after [laymeot to shareholders, of a dividend of 7per cent upon amount of paid up capital to divide part of Iho balance of the prolits amongst tho shareholders, according lo tho amount of business done by each, and a bonus to employees, and to oarry part to a Eeserve Fund for the equalisation of dividends, and for tho distinct object of starting or investing in such local industries in the district as will prove conducive to the welfare of theshartholdersi'employ labour, and promote the wealth and population of 'the district. The Association will wherever aufiicient i net ucement is' offered by settlors and others, and subject to tlio oonsiint of the shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by Bharing the oost of management and oonduot of business, reduce expenses and enlarge its sphere of usefulness. ' This is far from being .a Bpeoulative concern. Tho businesses of the vendors have been eat ried on successfully for the last twenty.five years; and the promoters have such confidence in tho Indue of tho Association that they are prepared, so long as Mr Cawlberg' is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than C per cent for the next five years, It Bhoold be plainly understood that tho promoters do not desiro now, nor in the future to take out tlieir capital, but to carry on the business on the now lines with Mr Caßolborg at the head of affairs, assisted by all the present staff, many of whom have been known to you for the last fifteen years.
