THE BANK OF AUSTRALASIA, Secretary: D.McINTOSH, Solictors: MESSRS BELL, GULLY & IZARD, Pasaha-St, Welunotos. THE association has formed for the purposo ol acquiring the old established and successful General Business of Mcssra M. Casclborg & Co,, at Mat;rton and Grovtown, and Messrs Joseph Nathan & Co's, Retail Business at Tinui, in the Wahatapa District, and thereafter to carry on a general business up on the co-operative principle under which shareholders, and customers of the Association, will share in the profits, according to methods to be determined from time to time by the Directors, and for the other purposes mentioned in the Memorandum of Association, a copy of which is endorsed on this prospectus. An association of this nature requires, in the chief centres, commodious business premises replete with facilities for economically and expeditiously carrying on the dis-. tributing trade. Experienced managers with a thorough knowledge of local requirements are infopeusible for llio efficient conduct of the business, ami for keeping good saleable clean stocks, It is necessary to know iu what markets, at what seasons, and in what quantities to buy theirrequireraents. It is of even greater importance to know how, where, and when to cxportor otherwise dispose of the produce to the beat advantage. But the i eal difficult ties of all such institutions is the beginning; for they must have capital at comniand, and have such financial arrangements, not only in the Colony, but in the various markets of the world, as will inspire the utmost confident to enable it to build up a first-class credit mi good name, and thus transact business on rock bottom limits. The profile of the Association after payment of expenses will belong to, and be distributed amongst tho shareholders, It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of the profits amongst the shareholders, according to the amount of businessdono by each, and. a bonus to employees, and to carry part to a Reserve, Fund for the equalisation of dividends, and' for tho distinct object of starting or investing in such local industries in the district as will prove conducive to tho welfare of the shareholders, employ labour, and promote the wealth and population of the district, The Association will wherever eutlicient inducement is offered by settlers nml nthnro. nnil mihinivt to the consent nf

the Eharehslders, endeavour to ally itself, or amalgamate, with similar institutions, and tliHB by ebaring the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness. This is far from being a speculative concern. The businesses of the vendors have been earned on successfully for the last twenty;five years; and t'no promoters have such confidence in the future of the Association that they are prepared, so long as Mr C'aselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than 0 per cent for the next five years, It should be plainly understood that the promoters do not desire now, nor in the future to take out tlicir capital, but to carry on the business on the new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom have been known to you for the last fifteen years. Disinterested experts will bo employed to certify that stocks have bien taken at absolute cost, and all bad or old stock has bcon reduced to the market value or taken away altogether, Book debts taken over are guaranteed against loss by the vendors, The following contracts have been made, namely : 1, A contract between Messrs M, Caselberg & Co.; and the tiou. 2. A contract between Messrs Joseph Nathan & Co,, and the Associa-. tion, Applications for shares should bo made upon the accompanying form, andfonvarded to the Bankers of the Association, together with the amount parable on application. If no allotment is made the deposit will be returned without deduction, and whero the number of shuns allotted is less than the number applied for, surplus will be credited in reduction of the amount payable on allotment, A form of Application for Shares is annexed, and a copy of the memorandum of Association will be found endorsed on thisprospectus, A copy of the Articles of Association of the Association, and of the contracts above mentioned may be inspected at the office of the Associations Solicitors, Dated this day of 1852, (Signed) M.
