THE association has been formed for the purposo of acquiring the old established and successful General Business of Messrs M. Caselberg & Co., at Mastorton and Greytown, and Messrs Joseph Nathan & Co.'s Retail Business at Tinui, in the Waiiarapa District, and thereafter to carry on a general business up on the co-operative principle under which shareholders, end customers of the Association, will share in the profits, according to methods to be determined from time to timo by the Directors, and for tho other purposes mentioned in the Memorandum of Association, a copy of whioh is endorsed on this prospectus. An association of this nature requires, in the ohief centres, commodious business premises replete with facilities foreconoini' oally and expeditiously oarryiug on the distributing trade, Experienced managers with a thorough knowledge of local requirements are imlis.. pcnsiblo for tho effic cnt conduct of the business, and for keeping pood saleable clean stocks, It is necessary to know ia what markets, at what seasons, and in what quantities to buy theirrequireraents. It is of even greater importance to know how, where, and when to exportor otherwise dispose of the produco to the best advantage, But the real dilliuuN ties of all 6uch institutions is the beginning ; for they muit have capital at com mand, and have such financial arrange' mcnts, not only in the Colony, but in the various markets of the world, as will inspire the utmost confidence to enable it to build up a first-class credit and good name, and thus transact business on rock bottom limits, The profits of the Association after pay. mentof expenses will belong to, and be distributed amongst the shareholders. It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of tho balance of the profits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to carry part to a Reserve Fund for the equalisation of dividends, and for the distinct object of starting ir investing in such local industries in tho district as will prove conduoivo to the welfare of tho shareholders, employ labour,, and promote the wealth and population of the district. The Association will wherover sufficient inducement is offered by settlers and others, and subject to the consent of tho shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing tho cost of manage< meat and conduct of business, reduce expenses and enlarge its sphere of usefulness. This is far from being a i, concern, The businesses of the vendors have been cai tied on successfully for the last twenty'five years; and the promoters have such confidence in the future ol the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in the management of the concern as heretofore, to guarantee a dividend of not less than 6 per cent (or the next five years.
