Itis of even greater importance to know how, where, and when to exportor otherwise dispose ot the produce to the best advantage, But the real difficult tits of all such institutions is the beginning; for they must liavo capital at command, and have such fiuancial arrangements, not only in the Colony, but in the various markets of the world, as will inspire the utmost confidence to enable it to build up a first-class credit and good name, and thus transact business on rock bottom limits, The profits of the Association after payment of expenses will belong to, and be distributed amongst tho shareholders, It is at present proposed after payment to shareholders of a dividend of 7 per cent upon amount of paid up capital to divide part of the balance of the prolits amongst the shareholders, according to the amount of business done by each, and a bonus to employees, and to carry part to a Eeserve Fund for the equalisation of dividends, and for the distinct object of starting or , ..vesting in such local industries in the district ns will provo conducive to tho welfare of the shareholders, employ labour, and promote the wealth and population of < the district, The Association will wherever sufficientinduccment is offered by Bettlers and others, and subject to the consent of the shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing the cost of management and conduct of business, reduce expenses and enlarge its sphere of usefulness, This is far from being a speculative concern. The businesses of the vendors have been coiried on successfully for the last twenty-five years; a.id the promoters have such confidence in the future of the Association that they are prepared, so long as Mr Caselberg is allowed a controlling voice in Uio management 6i the concern aB heretofore, to guarantee a dividend of not less than C per cent for tbe next five years.

It should be plainly understood that the promoters do not desire now, nor in the future to take out their capital, but to carry on the business on the new lines with Mr Caselberg at the head of affairs, assisted by all the present staff, many of whom have been known to you for the last fifteen years. Disinterested experts will be employed to certify that stocks have bten taken at absolute cost, and all bad or old stock has been reduced to the market value or taken nway altogether, Book debts taken over are guaranteed against loss by tho The following contracts have been made, namely : 1, A oontraot between Messrs M.
