THE BANK OF AUSTRALASIA, Secretary; D.McINTOSH, Solictors: MESSES BELL, GULLY A IZARD,. I'wm-Si, Wellington. THE Asiooiation has been formed for : the purpose of acquiring 'the. old established' and successful General Business of Messrs M. Caselberg &Co. a|t Mnstcrton and Qrevt»wn, and Meßsra Joseph Nathan & Co's Retail Business' at Tinui, in the Wairarapa District, and thereafter to carry on a general business «|> on tho co-operativo principle under which shareholders, andoustomersof the Association, wM'sh ire in the profits, according to methods to ho determined from time to timoby tin Dircotors, and for the other purposes mentioned in the Memorandum of Association, a cop/of which is endorsed on this prospectus, An association of this nature requires, in the chief centres, commodious business premises replete with facilities for economically and expeditiously carrying on the din tributing trade, Experienced managers with a thorough knowledge of local requirements are indis. pensible tor the efficient conduct of the business, and for keeping good saleable clean stocks, It is necessary to know in what markets, at what seasons, and in what quantities to buy theirrequirements.. Itis of oven greater importance to know how, where, and when to exporter otherwise disposo of the produce to.the best advantage, But the real difficult tics of nil auob institutions is the beginning; for they mutt havo capital at command, and have such financial arrangements, not only in the Colony, tat in the various markets ol the world, as will inspire the utmost conlidence to enable it to bnild up a first-class credit and good name, and thus transact business on rook bottom limits. The profits of tho Association after payment ol ojpenses will belong to, and be distributed amongst the shareholders. It is at present proposed after jaymennt to shareholders of a dividend of 7 per ceut upon amount of paid up capital to divide part of Iho balance of the profits'amongat the shareholders, according to the amount employees, and to carry part to a Deserve Fund for the equalisation of dividends, and for the distinct object of starting or investing in 6Uoh local industries io tho district as will prove conducive to the welfare pf the shareholders, employ labour, and promote the. wealth and population of the district. The Association will wherever euffioientinduccment is offered by tcltlciß and others, and subject to the oonsent of the shareholders, endeavour to ally itself, or amalgamate, with similar institutions, and thus by sharing tho cost of management and oondiiot of' business, reduco expenses and enlarge its sphere of usefulness. ' This is far from being a speculative concern, The businesses of the vendor's have been earned on successfully for the last twenty-five yean; and the promoters have meb confidence in the future of -the Association that they are prepared, so long as Mr Caselberg iB allowed a controlling voico in the management of the concern as heretofore, to guarantee a dividend of not less than 6 per cent for the next five yeare, It should be plainly understood that the promoters do not desire now, nor in the future to take out their capital, but to
carry on the business on the new lines with Mr Caselberg at the head of affairs, assisted by all tho present staff, many of whom hare been known to you for the last fifteen yearn Disinterested experts will be employed to certily that stocks have been, taken at abßelute cost, and all bad or old . etook :has been reduced to the market value or taken I away altogether, ,'.
