Smith, Dunedin The Dnmpany is promoted for the purpose of acquiring from the present owneis the riewly erected• Gasworks at l'almerstou North, and of carrying on the business of gas manufacturing in all its branches in the ordinary mode of Gas Companies, and for other purposes stated In the Memorandum of Association Tho works wore erected by Messrs John Coates and Co, Has Engineers and contractors of large experience, under a contract with tho Palmerston North Borough Council, and were purchased from them by tho present owners, Messrs Coates and Co. retaining an Interest, The leaso of the site of the works and the concessions embodied in the contract for erection (copies o( which can bo seen at the offices of Messrs Harcourt and Co,, and also of tho various other brokers of tho intended company throughout ihe Colony), are now veßted in equity in the Promoters), and the legal interest will bo assigned to the Company by the New Zealand attorney of Messrs Coates and Co., and the attention of applicants fft shares is particularly directed to the provisions of theso documents, which the Promoters themselves look upon as eminently favourable. It Is almost unknown foragas company to fail; on the other hand, all have paid good dividends when even only fairly managed. Palmerston North i 3 well known to be a most progressive town, and must eventually contain a large population, It is the centre of an extensive area of rich agricultural and pastoral country. In no part of the Colony is settlement more rapidly proceeding than in the surround* ing distriot, and the recont completion of tho Gorge Lino connecting the Wellington and Manawatn Railway and the Wanganui-New Plymouth Railway with tho Napier Lino, must make this town a large and bußy railway and commercial centre.

The recent censuß returns show that Palmeraton North has made the enormous increase of 65| per cent in its population sinoo the census of 1886, Wellington showing an increase of 5076, tho largest numerically in the Colony, but giying a percentage "of only inoreaseascompared witU 1886. As investments, Gas Companies have been amnrgst tho surest and most profit* able in the colonies, In Australia and Tasmania the averago dividend p,ajd by Gas Companies, and the premiums upon the paid upvalue of the shares are as follows:—Dividends, £l3 lh; Premiums on Shares exceed 77 por cent. . The streets in the Borough of Palmerston North are nov lighted with gas, as also are all the principal buildings and places of business, and the customers of tho Company are monthly increasing much boyond anything that wes anticipated, Tho returns furnished by the Manager show that for 1891 the receipts of the works are over 227 per cent in excess of what they were for the same period in 1889. From the large extensions ol mains and other works during last year, it is not anticipated that any further outlay will be necessary in the same direction for some time to come. But extensions to tho works, if necessary, would not in any case proportionately equal the cost of present installation, as much work has been done applicable to extended works. ' The Vendors offer their interest in the lease, plant, and all concessions for the Burn of £15,000. In New Zealand, as in Australia, Gas Companies have proved exceptionally sound investments,, and no class of shares command generally such high premiums and pay such steady dividends as they do.

Gas bhares in New Zealand stand at an average premium on the paid up capital of over 47ipef cent, and havo thus proved themselves as a class unsurpassed in popular favour with investors, The average dividends paid by these Companies in 1890 equalled £lolssod per cent, and it must not be over-looked that owing to the strike and the consequent high price ot coals, &c, this year was an exceptionally trying one for all Qas Companios. In addition to paying those large dividends, bonuses have been paid, and extensive reserve funds formed, .There is eyery reason to anticipate a similar success for tho Palmeraton liorth Gasworks, which arp now in first class working order, and havo given most, satisfactory results, Special attention of intending investors is called to. the fact that all expenses of broker advertising and other expenses of floating tho Company will be bprno by the vendors; the Company will not therefore bo saddled with any preliminary expenses, • Applications for shares must be made to the Brokers, or to the Colonial Bank of New Zealand and its agents throughout New Zealand.
