The works were ejected by Messrs John Coatea and Co, Has Engineer? and contractors of large expedience, under n contract with the Palmeratou North Borough Council, and wore pnnhased from them by the present owners, Mesßts Contesand Go. retaining an interest. Tlw km of tho silo of the works and the concessions ombodicd in the contract for erection (copies of which can be seen at the offices of Messrs Harcouit and Co., and also of the various other brokers of the intended company throughout ihe Colony), are now vested in equity in the Piomoters, and the legal interest will bo assigned to the Company by the New Zealand attorney of Messrs Coates and Co., mid the attention of applicants for shares is particularly directed to the provisions of these documents, which the Promotors themselves look upon as eminently favourable.

It is almost unknown fora gas company to fail; on tho other hand, nil havo paid good dividends when even only fairly managed. Palmerston North h well known to be a most progressive town, and must eventually contain a large population, It is tho centre of an extensive area of rich agricultural and pastoral country, In no part of the Colony is settlement more rapidly proceeding than in the surrounding district, and tho recent completion of the Gorge Line connecting the Wellington and Manawatu Railway and the WnnganuHNew Plymouth Railway with the Napier Lino, must make this town a largo and busy railway and commercial centre. The recent census returns show that Palmerston North has made the enormous increase of G&,[ per cent in its population since the census of 18S6, Wellington showin? an increase of 5076, the largest numerically in tho Colony, but giving a percentage of only 10| increase as compared with 1886, As investments, Gas Compauies have been Minrgst tho surest and most profitable in the colonies. In Australia and Tasmania the average dividend paid by Gas Companies, and the premiums upon the paid upvalue of the shares aro as follows:—Dividends, 113 15s; Premiums on Shares exceed 77 per cent, The streets in tho Borough of Palmerston North are now lighted with g«s, as also are all the principal buildings and places of business, and the customers of tho Company are monthly increasing much beyond anything that was anticipated. Tho returns furnished by the Manager show that for 1891 the receipts of the works are over 2*27 per centiu excess of what they wero for the samo period in 1889. From the largo extensions of mains and other wirks during last year, it is not anticipated that any furth-jr outlay will be necessary in the samo direction for some time to come, But extensions to the works, if necessary, would not in any caso proportionately equal tho cost of present installation, as much work has been done applicable to extended works. The Vendors offer their interest in the lease, plant, and all concessions for the sum of £15,000.

In flow Zealand, as in Australia, Gas Companies have proved exceptionally sound investments, and no class of sharos command genorally such high premiums and pay such steady dividends as they do. Gm Shares in New Zealand stand at an avorago premium on the paid up capital of over 47? per cent, and have thus proved themselves as a class unsurpassed in pupular favour with investors, The average dividends paid'by these Companies in 1890 equalled £lolssod per cout, and it must not be over-looked that owing to the strike and the consequent hi;>h pneo ot coals, <&c, this year was an exceptionally trying one for all Gas Companies,. In addition to paying these large dividends, bonuses havo been paid, and extensive reseryo funds formed.

There is oyory reason to anticipate a similar success for the Palmerston North Gasworks, whioh ore now in first olass working oraer, and have giyen most, satisfactory results. Special attention of iiitendmyinvesbrs is jailed to the fact that all expenses of brokerjgo, advertising and other expenses of floating the Company will bo borne by tho vendors; the Company will not therefore bo saddled with any preliminary expenses. Applications for shares must be made to the Brokers, or to tho Cplonial Bank ofNew Zealand and its agents throughout New Zealand..
