MEMORANDUM of Agreementmade between KIRKCALDIE and STAINS, Drape™, Wellington, N.Z., and E. CALVAT FILS. Glove Manu* fecturer, iu Grenoble (France). The said Kirkcaldie and Stains agree to become the SOLE AGENTS forE. Galvat Fils for the sale of the said E. G. Fila' Kid Gloves in New Zealand for the Term of Nine Years. The following are the terms j,nd conditions on which this present agreement is signed and confirmed: —
Ist. That the said Kinccaldte and Stains order not less that ONE THOUSAND POUNDS worth of K. Calvat Fils' Gloves per year. 12nd. All Gloves shall be up to the stanI dards of the different qualities ordered, such standards to be taken from Kirkcaldie and Stains' stock of E. Calvat Fils' Gloves. 3rd. This agreement shall date from Ist July, 1891. 14th. That all gloves shall be delivered in London to Eirkcaldie and Stains' appointed Agents within ten weeks after receipt of order, and shall be well and faithfully packed in tissue wadding and boxed, and in air tight zinc and wood cases, theße to be charged for on invoice. 6th. Prices Bhall be as quoted, except the market for skins alters. The terms shall be per cent prompt cash. 6th. All goods must be sound and new. and free from blemish and spots ; but it is distinctly understood that after they have been controlled by E & S's Agents in London E. Calvat Fils will not have to support any damage or loss that could happen on the way to Mew Zealand. 7th. Indents must be executed exactly to colors, sizes, qualities, quantities, and time. Bth. In consideration of the proper fulfilment of the preceeding clauses E. Calvat Fils undertakes to confine the agency of his Gloves exclusively to the firm of the said Kirkcaldie & Stains in New Zealand. E. CALVAT FILS, KIRKCALDIE & STAINS.
