The Company will take a transfer of h e business, goodwill, agercies, goods on consignment, lease of premises, with a purchasing clause, at a low valuation. &c., paving for the same the sum of five thousand pounds (£5,000), in the following mauner—namely, £2OOO by fully paid up shares in the Company, and the balance by instalments at short dates, as may bo arranged, and as the capital of the Company is called up, The stock-in-trade, merchandise in store, and any other assets belonging to the present business may be taken nt a valuation or not, as tho directors may elect, 3. The object of the Company will be to carry on the business of Auctioneers, Land, Estate, and General Commission Agents, and a mercantile business generally, and by offering special inducements to farmers and others by making advances on goods placed in the hands of the Company for sale, and Commanding tho utmost facilities for luocessfulty and expeditiously realising tho proceeds m this or other markets, to so extend the operations of tho Company that the want of a larger capital alone prevents the present proprietors from attainiug to. 4. While it is possible to obtain cash advances on produce, stock, and real estate, yet th o conditions usually imposed are found seriously inconvenient to borrowers, by reason of the public registration of mortgages and liens; therefore tho special advantages offered by this Company is one which farmeis and others will appreciate. Shareholder in this Company will bo enabled to borrow on tlie most favorable terms, and will aho have jmjmntial consideration; for they will be enabled to obtain advances on growing crops, stock, &c,, without the transaction being made too public and proclaimed to everybody. 6. Mr Thomas Dwan will remain, if required, as Auctioneer and Managing Director for a term that may be decieed upon and under arrangements that will be satisfactory to the Company, also binding himself not to set up in the same line of business again in the district of Wellington during the continuance of the above firm. 7. To the public generally, farmers, and other producers especially, this undertaking should, recommend itself, as it is neither more nor less than a large co-operative association, in which all can have a share at a small cost, and at the same timo command the experience and ability of trained business wen, at a moderate charge, in the conduct of their business,' whether the disposal of produce, the obtaining an advance on the thousand and one channeis in which most people Want assistance and advice. 8. Th# qualification for each Director ia 50 shares, and the Company will bo registered when 10,000 shares are subscribed, 9. Under directions from the Provisional Directors, the books of the Vendors have been examined by a competent accountant, and the result, considering the business hitherto carried on, is cninently satisfy tory. 10.
